Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization amended its bylaws on june 27, 2024. The following amendments were made: 1. "board members" are called "trustees." 2. Added the table of contents. 3. Art. I, section 4 term limits: changed term limits of trustees, limiting continuous service to nine years. The nine years begin on july 1, 2024, for those elected for a term beginning july 1, 2024. For trustees already serving as of june 30, 2024, the nine years are counted from the beginning of the term of the most recent election. 4. Art. Iii, section 2 nominations: the governance committee's nominations for trustees, emeritus trustees, board officers, and the successor members of the governance committee are made "with the approval of the [board] chair." 5. Art. Iv, section 3 eligibility: delete the requirement that trustees contribute annually to combined jewish philanthropies or corresponding federations. 6. Art. V, section 5 actions by writing: clarify requirement for unanimous consent by trustees to written vote to provide that, for the vote to pass, it must be approved by all trustees who participate in the vote. This means that unanimous consent is defeated by any objection but is no defeated if any trustee abstains or fails to answer by the stated deadline. 7. Art. Viii, section 1 enumeration: clarify listing of standing committees. 8. Art. Viii, section 2 chairs and members: board chair designates chairs and members of all committees. 9. Art. Viii, section 3 charters: requires each committee to develop and circulate a charter for approval by the board and specifies required information in each charter. 10. Art. Viii, section 7 real estate committee: delete real estate committee because its sole function, to find a new location, has been accomplished. 11. Art. Viii, new section 7 ad hoc committees: delete references to "special committees" because there are none.
