The 990 was reviewed in detail with the audit committee. Prior to submission, it was provided to all members of the governing body via the trustees' password-protected web portal. Members were advised via e-mail that the form 990 was available for their review.

Form 990, Part VI, Section B, Line 12C

The conflict of interest questionnaire is completed annually by all trustees, officers and key employees. Completed questionnaires are reviewed by the chair of the audit committee. In the event of a conflict of interest, the conflicted individual is prohibted from votes or decisions relating to the transaction.

Form 990, Part VI, Section B, Line 15

The president's compensation was reviewed using an independent analysis. An independent compensation review was performed by ml strategies, mintz levin, out of washington dc. The reports were provided to the compensation committee of the board of trustees prior to compensation levels being established for the 2013-14 fiscal and academic years. The studies relied on a peer-institution review of presidential compensation. The president's compensation is approved by independent persons and documented contemporaneously. The compensation of the key employees of the college is reviewed internally and annually utiilizing a peer institution list of comparable colleges and using a subcription database through the college and university professional association for human resources (cupa - hr) using data collected annually through their administrative compensation survey. Compensation for this group is set by independent persons and documented contemporaneously.

PART X, LINE 2:

The college accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The college has identified its tax status as a tax exempt entity and its determination of which revenues are related or unrelated to be its only significant tax positions; however, the college has determined that such tax positions do not result in uncertainties requiring recognition. The college is not currently under examination by any taxing jurisdictions. The college's federal and state tax returns are generally open for examination for three years following the date filed.
