“The organization amended its bylaws on may 20, 2025. The following amendment was made: the number of trustees shall be divided into three classes, as nearly equal as possible, and each class shall be elected to staggered three year terms so that at each annual meeting approximately one-third of the trustees shall be elected. Each trustee shall hold office for a term and until a successor is elected and qualified, unless he or she sooner dies, resigns, is removed or becomes disqualified. No trustee may serve more than two consecutive three-year terms after which at least one year must pass before he or she may be re-elected to the board. If a trustee who is completing a sixth consecutive year as trustee is then (1) the incumbent president, (2) the president-designate, (3) the treasurer, (4) the clerk, or (5) is a trustee who serves on a particular committee, or has particular skill or knowledge, that warrants their retention beyond the term limits, the governance committee, and then the full board subsequently, may recommend to the corporation that such term limitation be waived in order to permit such trustee to serve up to a maximum of three additional consecutive years.”
