Governance Explanations

Form 990, Part VI, Section A, Line 1A

Between meetings of the board of trustees, the executive committee shall have all the powers of the board of trustees, except the power to amend the bylaws or to take any action which has been reserved for the board of trustees, and shall be called together by the chair, the head of school, or any three members of the executive committee at their discretion.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by tax advisors at a national accounting firm with information provided by management. A copy of the form 990 is provided to the governing body via boardeffect.

Form 990, Part VI, Section B, Line 12C

All board members and officers are required to complete, on an annual basis, a conflict of interest questionnaire proivded by the chief financial officer as part of the audit committee report. The questionnaires are reviewed by the chair of the board and the chied financial officer, as appropriate. In the event that a board member does disclose a conflict, that person is recused from dicussions and does not vote on resolutions that pertain directly to that conflict.

Form 990, Part VI, Section B, Line 15A

Compensation for the head of school was determined prior to validating his employment contract in january 2021. At that time, the board of trustees utilized data gathered by the association of business officers of private schools (abops) to identify comparative compensation based on officers in similar roles at peer institutions. Annually thereafter, the board reviews the head of school's compensation and makes adjustments, as deemed appropriate. Review of compensation of other officers is performed by the head of school annually using similar comparative data. The deliberations and decisions regarding compensation are documented.

PART V, LINE 4:

Endowment serves to support scholarships, faculty, academic and extracurricular programs, and general administration of the school.

PART X, LINE 2:

In accordance with section 501(c)(3) of the internal revenue code, the school is exempt from federal and state income taxes and, accordingly, the financial statements do not reflect a provision for income taxes. These determinations have been reviewed according to guidance in a recent financial accounting standards board pronouncement related to accounting for uncertainty in income taxes. In determining the recognition of uncertain tax positions, the school now applies a more-likely-than-not recognition threshold and determines the measurement of uncertain tax positions considering the amounts and probabilities of the outcomes that could be realized upon ultimate settlement with taxing authorities. As of june 30, 2024 the school has no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. The school is generally subject to potential examination by taxing jurisdictions for the prior three years.
