“The university's bylaws were amended and restated in september 2013. The principal changes were to: remove sections of the bylaws that already exist in the university's restated articles of organization or that are addressed by statute; revise provisions describing the roles of the board, president, chair, and vice chair; add descriptions of and procedures for the board's committees; revise the provision for amending the bylaws; and revise provisions for the noticing and holding of meetings.”

In making its decision, the board of trustees reviewed comparability data provided by a third-party compensation consultant. The board's decision was contemporaneously documented in the minutes of the board meeting.”
