Form 990, Part VI, Section A, Line 6

Certain responsibilities for institutional oversight are vested in the College's Board of Incorporators. As directed by the By-Laws of the Corporation, persons elected to serve on the Board of Incorporators shall be deemed Members of the Corporation.

Form 990, Part VI, Section A, Line 7A

Members, defined by the Corporation's By-Laws as Incorporators, have four responsibilities: To elect Incorporators and elect members of the Board of Trustees; To elect a Treasure for the Corporation; To elect a Clerk for the Corporation; To amend, alter, repeal or add to the Corporation By-Laws.

Form 990, Part VI, Section B, Line 11B

The draft Form 990 and related Schedules are reviewed by a committee consisting of members of the Board of Trustees and the Vice President of Finance. Upon successful review, an approval recommendation is made and a completed copy of the Form is made available to the full Board for final review and approval.

Form 990, Part VI, Section B, Line 12C

The Conflict of Interest Policy, contained in the Fisher College Employee Handbook, is instituted and reviewed with individuals at the time of hire or beginning of service. Additionally, this policy is periodically reviewed with the College community as a whole through seminars presented by the Office of Human Resources and in conjunction with the College's employment practices attorneys. The Policy itself is regularly reviewed for compliance assessment by Human Resources and College attorneys, and updated accordingly. In the event that breach of policy were presumed or suspected, facts would be examined and evaluated, and determinations would be made as to the extent and breach of policy. Based on the extent of the breach determined, consequences may be levied, up to and including dismissal from the College or legal action. All members of the Board of Trustees are required to sign off on a Board specific Conflict of Interest Policy, and are required to update the Board on any changes in conflict status.

Form 990, Part VI, Section B, Line 15

Fisher College policy for determining compensation includes a review of comparable salaries at similar organizations in the general geographic vicinity for all positions within the College, the data of which has been researched through the Office of Human Resources. In the case of the Office of the President, this information is then formally reviewed by a committee, which subsequently makes a recommendation to the Board of Trustees. The Board deliberates and makes a final determination, and recordkeeping is maintained at each level of the process. For all other employees, comparable salaries are reviewed and determinations are made at the supervisory level, with final salary approval residing with the Office of the President; all records are maintained at each juncture of this progression. Comparable salary data is updated on an annual basis, with annual salary reviews for all employees utilizing the updated data.

Form 990, Part VI, Section C, Line 19

The College follows all Federal and State requirements and guidelines for open disclosure and public inspection of policies, procedures and public documents. Governing documents, conflict of interest policy and financial statements are posted to the Fisher College website or are made readily available for inspection to the general public at the offices of the College. Copies of any such documents are furnished upon request.

Additional Explanations

Form 990, Part III, Line 4C

In order to better align the operations and mission of the College, the Center for Leadership in Public Service and the Federal Grants Program have been consolidated within the Educational/Instructional Services at line 4a. The revenue and expenses of line 4c are now reflected within the Education/Instructional Services programs.

Form 990, Part X, Line 1

Uncertain Tax Positions - The College accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable tax authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The College has identified its tax status as a tax exempt entity as its only significant tax position; however, the College has determined that such tax position does not result in an uncertainty requiring recognition. The College is not currently under examination by any taxing jurisdictions. The College's Federal and state tax returns are generally open for examination for three years following the date filed.

Form 990, Part XI, Line 9

Increase in Temporarily Restricted Net Assets - $3,000

Financial Statement Notes

Schedule D, Part V, Line 4

Schedule D, Part V, Line 4 - The Fisher College quasi-endowment fund consists of certain designated unrestricted assets, held with an absence of donor-imposed restrictions, which are retained to function as an endowment fund. These funds are held as a contingency and may be used to support on-going operations, capital expenditures, or any purposes deemed appropriate which further enhance the mission of the College. Appropriations are subject to the guidelines of the fund appropriation policy and approval of the Board of Trustees.
