Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization has two classes of members: (a) those with voting rights and any other legal rights or privileges in connection with the governance of the corporation as established by the bylaws and the articles of organization and (b) those without voting or other rights in the governance of the organization.

Form 990, Page 6, Part VI, Line 7A

Voting members have the right to elect and remove the directors. They also have additional powers and rights as are vested in voting members by applicable law or the bylaws, articles of organization or amendments thereto, or as established by the board of directors.

Form 990, Page 6, Part VI, Line 7B

Voting members will vote on governance decisions as deemed necessary by the board of directors.

Form 990, Page 6, Part VI, Line 11B

A copy of the form 990 is distributed to all members of the governing body after it is reviewed by the treasurer and the finance committee before the form is filed.

Form 990, Page 6, Part VI, Line 12C

All directors and officers are required to file with the secretary the conflict of interest disclosure form attached to the organization's conflict of interest policy annually, prior to the first board meeting of the year's new term. If an individual has a conflict of interest, he or she must fully disclose the nature of the interest and withdraw from discussion, lobbying, and voting on the matter. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors or voting members determine that it is in the best interest of the organization to do so.

Form 990, Page 6, Part VI, Line 15A

Compensation for the executive director was determined by the compensation committee and ratified by the board of directors. General executive director positions in boston were looked at, but more significantly, the detroit skating club, the closest industry competitor to the club. The compensation was adjusted to reflect the larger position in boston as well as the cost of living. Finally, the board took into consideration the executive director's experience in the industry. The discussion was documented, and a five-year employment contract was signed. This process was last undertaken on june 30, 2020.

Form 990, Page 6, Part VI, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Additional Explanations

Form 990, Page 2, Part III, Line 4A

The skating club of boston operates figure skating programs in its new, state of the art three-rink facility in norwood. Offerings include recreational public skating; recreational and competitive programs in pairs, singles, and dance skating; team synchronized skating; and a theatre-on-ice program. The club also operates a high-performance training program for individuals interested in competing at the national and international level. On behalf of u.s. Figure skating, the national governing body for the sport, the club also periodically hosts qualifying regional, sectional, and national championships. Club members have won over 145 national titles, several world titles, and two olympic championships. Its members have also gone on to leadership positions at the national and international level of governance in the sport. The club has a youth in sport program that provides monetary support for city youth and local skaters learning, appreciating, and excelling in the sport of figure skating. It underwrites the skating after school program in the skating academy and supports local youth who may not otherwise be able to afford the cost of skating.

Form 990, Page 2, Part III, Line 4B

The skating club of boston operates the boston park department's facility at the frog pond on the historic boston common as part of a public-private partnership with the city of boston. The club operates the frog pond on a year-round basis with the purpose of providing four seasons of family entertainment. During the winter months, club-managed activities center on operation of the skating rink including skate rentals, public skating, private outings, and group and private skating lessons. The club also produces two skating shows during the winter - one to celebrate the city's tree lighting and the other to celebrate the new year as part of boston's first night celebrations. During the warm weather months, the club maintains and operates the reflecting and spray pool at the frog pond as well as a children's carousel. Year-round, the club operates the frog pond cafe. In addition to the winter skating shows that are free to the public, the club also promotes and produces a free movie night series, free yoga classes, and other events of special interest to locals and tourists alike.

Financial Statement Notes

Schedule D, Page 1, Part III, Line 1A

Collections consist of trophies, medals, and similar assets that are held for public exhibition. As permitted by accounting standards, the club does not capitalize donated or purchased collection items; therefore, they are not recognized as assets on the statement of financial position or contribution revenue on the statement of activities. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. Purchases of collection items are recorded as decreases in net assets without donor restrictions in the year in which the items are acquired or as net assets with donor restrictions if a donor makes a contribution intended to fund the subsequent purchase of collections. It is the policy of the club that proceeds from the sale of any collection items are to be used to purchase additional collection items and for the direct care of collection items. The club considers direct care to entail actions that enhance the life, usefulness, or quality of the collection items to ensure they will continue to benefit the public.

Schedule D, Page 2, Part III, Line 4

The skating club of boston maintains a collection of medals, trophies, books, photos, and mementos that span 100 years of figure skating history. The collection is kept on display at the club home in norwood, massachusetts as part of its mission to educate the public on the rich history of the sport in the united states and, in particular, in boston, the original home to u.s. Figure skating. Club historians are available to talk about the collection and the history of the sport, including the rich history of the skating club of boston.

Schedule D, Page 2, Part V, Line 4

Distributions from the fund may be made annually in an amount up to 75% of the increase in the value of the fund over the course of the immediately preceding calendar year and undistributed earnings from prior years for the purpose of supporting and developing amateur athletes for national and international competition in ice skating.

Schedule D, Page 3, Part X

Management has evaluated significant tax positions against the criteria established by professional standards and believes there are no such tax positions requiring accounting recognition in the financial statements. Any changes in tax positions will be recorded when the ultimate outcome becomes known. The club's income tax returns are subject to examination by taxing authorities generally for three years after the date on which those returns are filed. The club recognizes interest and penalties, if any, related to income tax liabilities as income tax expense in the statement of activities.
