“There were several changes to the bylaws. Generally speaking, the objective of the revisions was to clarify and more closely align the bylaws with our business practices, while confirming compliance with applicable laws. The major changes are as follows: *clarify that mojalet shall have no members within the meaning of section 5056 of the nonprofit corporation law of california, but that the board may adopt policies to admit associate or other members with no voting rights, and which are not members under section 5056. *indicate that the number of directors shall be determined by resolution, as opposed to by a change to the bylaws (by amendment, repeal, or adoption of new bylaws, etc). *allow for flexibility in method of communication, scheduling of board meetings, and conduct of meetings. *clarify quorums and minimum vote requirements for board actions, and also quorum rules for board committees. *revise the section pertaining to indemnification. *add a section dedicated to interested party transactions. *restate, streamline, clarify, and generally clean up the language in various provisions.”
