Governance Explanations

Form 990, Part VI, Section A, Line 1

The board of directors may at any time elect an executive committee consisting of such number of directors as the board deems appropriate. The executive committee may act on behalf of the corporation in any matter when the board of directors is not in session, reporting to the board of directors for its ratification of their action at each regular, or special meeting called for the purpose. A majority of the members of the executive committee shall constitute a quorum for the transaction of business. Meetings may be called by the chairman or president, or by a majority of the members of the executive committee. Action by the executive committee can be taken in the absence of a meeting by unanimous consent of the members of the executive committee.
