In november 2012 camp care entered into a ten year lease agreement with cornerstone of columbia, llc (cornerstone). Cornerstone is a limited liability partnership that owns the land and building that crossroads conducts its operations in. Cornerstone also owns the indoor riding arena, outdoor riding arena, barn, paddock and other associated land that camp care conducts its operations in. The lease agreement is for ten years and requires monthly lease payments in the amount of 2,900. Management and the board of directors believe that this transaction with cornerstone is consumated on terms equivalent to an arms length transaction.

STEPHEN AND LAUREEN DO NOT HAVE VOTING RIGHTS ON THE BOARD OF DIRECTORS. DURING 2012, CAMP CARE WISHED TO CONSTRUCT AN INDOOR RIDING ARENA SO THAT ITS PROGRAMS COULD BE CARRIED ON YEAR ROUND. CAMP CARE WAS NOT ABLE TO OBTAIN FINANCING FOR THE CONSTRUCTION PROJECT, THEREFORE, CORNERSTONE OBTAINED THE MORTGAGE INSTEAD. AS A RESULT, CAMP CARE SOLD CERTAIN LAND IMPROVEMENTS,INCLUDING THE FOUNDATION OF THE INDOOR RIDING ARENA TO CORNERSTONE FOR 138,209.
