Explanation: Currently only VCI-Group User Members can be Officers of The Group. The Board would like to change this to allow one (1) Alliance Member to serve as an Officer of The Group. They would not be allowed to serve as President or Vice-President of The Group. Other Officer positions typically include Secretary and Treasurer.Current Bylaw: V.4.1"Candidates for The Officers of The Group for the upcoming Administrative Cycles shall be nominated by the Members of the current Board. Officer Positions are reserved for Directors who are User Members."Change to Bylaw V.4.1 to"Candidates for The Officers of The Group for the upcoming Administrative Cycles shall be nominated by the Members of the current Board. The Officer Positions of President and Vice President are reserved for Directors who are User Members. There can only be one (1) Alliance Member in any other Officer position at any time."2. Explanation: Currently only one representative from a company can be on the VCI-Group Board of Directors. This includes all Provisional (non-voting) Directors of The Board. The Board would like to allow one Provisional (non-voting) Director to be from the same company as a voting Director.Current BylawThe Development component is composed of Members, known as Provisional Directors. These Members have the right of advice and guidance to strengthen The Boards competence to provide good governance and exercise due diligence. These positions do not hold voting, executive or administrative power and are filled at the request of and acceptance by The Board. The Board may use these positions to prepare candidates to assume Director Positions when they become available. Provisional Directors may not be from an organization already represented by a Director on The Board, for the current or upcoming Administrative Cycles, or a Provisional Director serving on the Development Component.Change to Bylaw IV.1.4The Development component is composed of Members, known as Provisional Directors.
