Governance Explanations

Form 990, Part VI, Section A, line 3

Certain management functions of the Organization have historically been outsourced to New Hampshire Catholic Charities, Inc. which took full ownership of Warde Health Center, Inc. from Sisters of Mercy of the Americas-Northeast Community, Inc. in April 2015. These duties include oversight of the Organization's managerial personnel, obtaining proper certifications, oversight of operational policies, procedures and activities. New Hampshire Catholic Charities also provides financial/accounting assistance to the Organization, as necessary.

Form 990, Part VI, Section A, line 7B

Strategic decisions made by the Board (such as budgeting) were subject to final approval by the Sisters of Mercy of the Americas through March 2015 and then New Hampshire Catholic Charities beginning in April 2015.

Form 990, Part VI, Section B, line 11

The Form 990 is reviewed by Warde Health Center's administrator, finance staff of Sisters of Mercy and New Hampshire Catholic Charities, and the Chair of the Board. A copy of the return is also provided to all Board members prior to filing.

Form 990, Part VI, Section B, line 12C

The Board monitors its conflict of interest policy annually. Board members are required to disclose any conflict of interest to the Board and sign a conflict of interest statement annually.

Form 990, Part VI, Section B, line 15

Compensation of top management and other key employees is set by New Hampshire Catholic Charities. Salary amounts are determined in part by reviewing salaries for comparable positions within the State of New Hampshire.

Governing documents are available at the Organization's facility in Windham, New Hampshire. A sign is posted in a public area of the facility disclosing the location of such documentation. All other financial information and policies are available upon request.
