Form 990, Part VI, Section A, line 3

New Hampshire Catholic Charities, Inc. (NHCC) took full ownership of Warde Health Center, Inc. from Sisters of Mercy of the Americas-Northeast Community, Inc. in April 2015. As part of this transaction, NHCC assumed all management functions, including oversight of Warde Health Center's managerial personnel; obtaining proper certifications; oversight of operational policies, procedures, and activities; and all financial/accounting responsibilities.

All governance decisions during the filing were made or subject to approval by New Hampshire Catholic Charities, Inc., who assumed ownership of the organization in April 2015.

Prior to filing with the IRS, the Form 990 is reviewed by the Chief Financial Officer/Chief Operating Officer and the Board of Directors of the Sisters of Mercy Northeast Community, as well as the Vice President of Healthcare Services of New Hampshire Catholic Charities.

Salary amounts were determined in part by reviewing salaries for comparable positions within the State of New Hampshire. During the filing period, no compensation was paid to top management and other key employees for services rendered to Warde Health Center, Inc.
