Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared with the assistance of an independent CPA firm. The CPA firm coordinates with key officers and finance personnel of the Organization to prepare and review a draft of the Form 990 prior to its filing with the IRS. As these individuals consider the drafted Form 990, they are given the opportunity to ask questions and to address any concerns with the tax filing or otherwise. The engaged accountant will only file the Form 990 with the IRS after receiving approval from the Organization's key officers and Board that the return is complete, and only after the accountant feels that the Form 990 is accurate based on the available information.

Form 990, Part VI, Section B, line 15A

When determining the Head of School's compensation and benefits, the Executive Committee of the Board will research appropriate compensation data and undertake an evaluation of the Executive's performance. The Board and Committee will also review at length the responsibilities of the Head of School, as detailed in their underlying contract and job description, in conjunction with market-research on salaries for other Heads of School within comparable independent schools provided by the Independent School Association of Northern New England (ISANNE) and the National Association of Independent Schools (NAIS). The Board and Committee considers such information alongside published salaries for public school superintendents, public school principals, and other comparable administrators. Through this analysis and with their professional judgement, the Board will arrive at a reasonable and appropriate level of compensation for the Academy's Head of School's salary which is commensurate with their responsibilities and experience. When determining, reviewing, and approving the salary of the Academy's Business Manager, the Head of School will consider the Manager's proposed salary as compared to compensation survey results distributed by ISANNE and NAIS annually, when such data is available. The Head of School will then confirm if such salary and benefits is reasonable based upon these benchmarks and in conjunction with the Manager's actual performance and job responsibilities. The Head of School includes the Business Manager's salary in the annual budget, which is provided annually to the Board for its approval.

Form 990, Part XII, Line 2C

The audit process and its review procedures were unchanged since the prior tax year. Specifically, the audit was subject to the review and oversight of the Organization's Executive Director, finance and audit committees, and key financial and business personnel within the Organization. Additionally, the Organization's audited financial statements and Form 990 are subject to review by the Organization's independent Board of Trustees prior to their issuance.

Financial Statement Notes

Part V, Line 4:

The School's endowment consists of funds designated to provide financial aid, support capital improvements, and to generate income for programs and operations. The School's endowment includes both donor-restricted funds and funds designated by the Board of Trustees to function as endowments. The School has adopted investment and spending policies, approved by the Board of Trustees, for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment funds while also maintaining the purchasing power of those endowment assets over the long term. Accordingly, the investment process seeks to achieve an after-cost total real rate of return, including investment income as well as capital appreciation, which exceeds the annual distribution with acceptable levels of risk. The School has a policy of annually appropriating for distribution up to 4% of the average market value of the endowment portfolio at the end of the preceding 12 quarters. In the event of a substantial gift (greater than 50% of the market value of the endowment), the Board may apply a transitional spending policy. The Board seeks to protect the real purchasing power of the endowment over time; produce consistent spending increases; and preserve and enhance the growth of principal.

Part X, Line 2:

The Academy is exempt from federal income tax under Section 501(c)(3) of the Code. As such, no tax provisions have been made in the accompanying financial statements. The Academy has adopted provisions of the Financial Accounting Standards Board (FASB) in Accounting Standards Codification (ASC) Topic 740-10. The Academy's policy is to evaluate all tax positions on an annual basis in conjunction with the filing of the annual return of an organization exempt from income tax. Interest and penalties assessed by income taxing authorities would be included in management and general expense. For 2024 and 2023, there were no penalties or interest assessed or paid. The Academy files informational returns in the U.S. federal and state jurisdictions.
