On an annual basis, board members sign off on our conflict of interest policy. All board members, officers, committee members, and employees of breathe new hampshire are subject to this policy. The board of directors is responsible for determining whether a conflict of interest exists through a vote of its executive committee. Any person determined to have a conflict of interest on any matter is not allowed to vote on or use personal influence on the matter. Additionally, that person shall be absent during the review and vote of that matter.

Form 990, Part VI, Section B, Line 15A

Under the leadership of the board chair, the board of directors of the organization determines the compensation for its president and ceo based on the performance and goals set in the prior year. Salary ranges for the position utilize information from various sources including the new hampshire center for nonprofits wage and benefit guide and charity navigator. Every director participates in the annual evaluation of the president & ceo. Results from the evaluation, along with performance against goals and objectives are discussed with the entire board of directors and any compensation increase is approved by the entire board of directors.

The organization adopted the provision of fasb asc 740, accounting for uncertainty in income taxes. Accordingly, management evaluated the tax positions of the organization and concluded the organization had maintained its tax-exempt status, does not have any significant unrelated business income and had taken no uncertain tax positions that require adjustment or disclosure in the financial statements. With few exceptions, the organization is no longer subject to income tax examinations by the u.s. Federal or state tax authorities for tax years before 2020.
