Mission and Program Overview

Mission

The international partnership for microbicides, inc. (ipm) was established in 2002 to accelerate the development and accessibility of microbicides to prevent the transmission of hiv. Its goal is to improve the efficiency to all efforts to deliver a safe and effective microbicide for women in developing countries as soon as possible.

To develop hiv prevention products and other sexual and reproductive health technologies for women, and to make them available and accessible where they are urgently needed.

Employees are required to complete a confidentiality agreement with the organization annually. The employee discloses any areas of potential conflict of interest and agrees to notify the appropriate individuals of any potential occurrences.

The salary of the ceo is determined by referencing industry data to identify compensation level based on responsibilities, size of organization, and funding levels. Once the data is accumulated, the information is then presented to the finance chairperson and committee for review and approval of the board of directors. Upon approval, the approved salary is sent to the hr department by a member of the board of directors and/or coo for implementation. All chief level salaries are subject to the same procedures as the ceo salary review process. Compensation level recommendations are presented to the finance chairperson and committee for review and approval of the board of directors. Once the compensation levels has been approved, a member of the board of directors and/or ceo and/or coo submits these approvals to hr for implementation.

PROGRAM SUPPORT & ACCESS: In 2020, IPM continued to build awareness globally about microbicides and create a favorable environment in support of microbicide product development and introduction. This is achieved by informing, educating, and building support for IPM's work through communication materials, advocacy and direct stakeholder engagement. In conjunction with these efforts, IPM also continued work to ensure that the DVR, if approved by in-country regulators, can quickly reach the women in developing countries, who face the highest risk of HIV. This work includes partnering with a global network of organizations, including government, pharmaceutical, health services, civil society and academic sectors, to strategically plan for affordable access to the dapivirine ring. Organization oversight: the process for overseeing the audit of the financial statements and selection of an independent accountant that audited the financial statements has been consistent with prior years.

Financial Statement Notes

PART X, LINE 2:

IPM is generally exempt from federal income taxes under the provisions of Section 501(c)(3) of the Internal Revenue Code. In addition, IPM qualifies for charitable contributions deductions and has been classified as an organization that is not a private foundation. Income which is not related to exempt purposes, less applicable deductions, is subject to federal and state income taxes. The Organization recorded a tax liability for unrelated business income of $0 for the years ended December 31, 2020 and 2019. IPM is still open to examination by U.S. federal or state tax authorities on its tax returns submitted 2017 and thereafter. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position taken would be sustained in a tax examination, presuming that a tax examination will occur. Management believes it has no material uncertain tax positions and, accordingly, has not recognized any liability or penalties and interest for unrecognized tax benefits. The Organization recognizes interest and/or penalties related to uncertain tax positions, if any, as income tax expense in the accompanying consolidated statement of activities. No interest and/or penalties were recorded for the years ended December 31, 2020 and 2019 related to uncertain tax positions.

IRS990/Desc0Product development: The product development (PD) division leads non-clinical, formulation, manufacturing, chemistry manufacturing and controls (CMC), analytical, and material planning and supply activities for IPM's products. This division is responsible for product supply and associated activities to support clinical trials (including manufacturing, packaging, labeling, distribution, stability) as well as the post-use testing of dapivirine rings to support adherence assessments during trials. In 2020, PD's efforts included conducting CMC gap-filling activities to address feedback received from regulatory agencies, including the questions received from the EMA as part of the review process of the monthly dapivirine ring regulatory dossier. Following the Positive Scientific Opinion from the EMA for the DVR, the PD team began preparations for commercial manufacturing of the DVR. This included completing capacity planning with critical vendors such as IPM's DVR product manufacturing partner, IPM's dapivirine drug substance manufacturing partners and IPM's silicone manufacturing partner. Subsequently, commercial manufacturing of DVRs began in Q4 2020. Additionally, the product development team is supporting organizational efforts to negotiate contracts with global health supply procurement agencies for procurement and distribution of the DVR once in-country regulatory approvals are received. Further to this, the PD team continued development the three-month dapivirine ring and the dapivirine-contraceptive ring.
