Form 990-ez, Part V, Line 34

1. The updated bylaws (article iii)change the requirements for members of the board of directors. Previously, members of the board of directors were only required to be residents of the state of indiana. They are now required to be residents of rush county, indiana as well. Also, the board of directors previously consisted of 3 classes: class 1 was elected on a rotational basis with a 3 year term, class 2 was elected with a one year term, and class 3 was elected with a 2 year term. Current by-law changes remove classes within the board of directors and now each member serves a 3 year term. 2. Unnecessary verbiage was removed from article iii of the old bylaws that redundantly clarified that the vice president was also the vice chairperson. 3. The prior bylaws set out specific procedures to be followed in the case of unexpected vacancies on the board of directors. That section of article iii of the bylaws has been removed. Vacancies are now filled by using the standard procedures for electing new members to the board of directors as outlined in the bylaws. 4. The updated bylaws (article iv) change the required meeting frequency of the board of directors from bi-monthly to quarterly. 5. The updated bylaws (article iv) adjust the requirements for achieving a quorum. Under the new requirements, "at least 1/2 of the board members must be present" to achieve a quorum. (previously, quorum was achieved if a marjoity of directors were "in the office immediately before a meeting began.") 6. Adjustments were made in article iv of the new bylaws to clarify that simply the board of directors or committee were required for assent. Prior bylaw verbiage was changed to clarify and unnecessary wording was removed. 7. Adjustment of article iv also clarifies a conflict of interest transaction as defined by the bylaws. Per the bylaws, a conflict of interest transaction is a transaction with the corporation which is also a transaction with the board of directors who represent the corporation. 8. Adjustment to article v of the bylaws indicate that there are no voting members of the coporation and no officers of the corporation. Multiple sections of article v of the prior bylaws were removed that outlined the requirements for officers of the corporation; wherein, the updated bylaws clarify that the board of directors, its officers, and members make all governing decisions for and on behalf of the corporation. 9. Article vi of the new bylaws remove verbiage related to the executive committee and its multiple fuctions. Also, the nominating committee, operating committee, and operating subcommittees (fundraising and public relations)have been removed from the bylaws. Accordingly, these committees and subcommittees no longer operate or exist. 10. Article vi of the new bylaws was also revised to remove redundant verbiage related to committees being soley comprised of members of the board of directors. Although board comittees are still comprised solely of members of the board of directors, redundant and unnecessary wording was removed in article vi to this end. 11. Article vii sections related to the maintenance of record-keeping was adjusted to 1) reflect aforementioned changes in the bylaws that required members of the board of directors to be residents of rush county and 2) to clarify that the board of directors is responsible for maintaining permanent records of corporate meetings and minutes versus record maintenance being the sole responsiblity of the corporation as in the prior bylaws. 12. Finally, aricle vii makes provision for the board of directors to retain the services of a cpa firm to process financial transactions and submit monthly reports to the corporation.

UNNECESSARY VERBIAGE WAS REMOVED FROM ARTICLE III OF THE OLD BYLAWS THAT REDUNDANTLY CLARIFIED THAT THE VICE PRESIDENT WAS ALSO THE VICE CHAIRPERSON. 3. THE PRIOR BYLAWS SET OUT SPECIFIC PROCEDURES TO BE FOLLOWED IN THE CASE OF UNEXPECTED VACANCIES ON THE BOARD OF DIRECTORS. THAT SECTION OF ARTICLE III OF THE BYLAWS HAS BEEN REMOVED. VACANCIES ARE NOW FILLED BY USING THE STANDARD PROCEDURES FOR ELECTING NEW MEMBERS TO THE BOARD OF DIRECTORS AS OUTLINED IN THE BYLAWS. 4. THE UPDATED BYLAWS (ARTICLE IV) CHANGE THE REQUIRED MEETING FREQUENCY OF THE BOARD OF DIRECTORS FROM BI-MONTHLY TO QUARTERLY. 5. THE UPDATED BYLAWS (ARTICLE IV) ADJUST THE REQUIREMENTS FOR ACHIEVING A QUORUM. UNDER THE NEW REQUIREMENTS, "AT LEAST 1/2 OF THE BOARD MEMBERS MUST BE PRESENT" TO ACHIEVE A QUORUM. (PREVIOUSLY, QUORUM WAS ACHIEVED IF A MARJOITY OF DIRECTORS WERE "IN THE OFFICE IMMEDIATELY BEFORE A MEETING BEGAN.") 6. ADJUSTMENTS WERE MADE IN ARTICLE IV OF THE NEW BYLAWS TO CLARIFY THAT SIMPLY THE BOARD OF DIRECTORS OR COMMITTEE WERE REQUIRED FOR ASSENT. PRIOR BYLAW VERBIAGE WAS CHANGED TO CLARIFY AND UNNECESSARY WORDING WAS REMOVED. 7. ADJUSTMENT OF ARTICLE IV ALSO CLARIFIES A CONFLICT OF INTEREST TRANSACTION AS DEFINED BY THE BYLAWS. PER THE BYLAWS, A CONFLICT OF INTEREST TRANSACTION IS A TRANSACTION WITH THE CORPORATION WHICH IS ALSO A TRANSACTION WITH THE BOARD OF DIRECTORS WHO REPRESENT THE CORPORATION. 8. ADJUSTMENT TO ARTICLE V OF THE BYLAWS INDICATE THAT THERE ARE NO VOTING MEMBERS OF THE COPORATION AND NO OFFICERS OF THE CORPORATION. MULTIPLE SECTIONS OF ARTICLE V OF THE PRIOR BYLAWS WERE REMOVED THAT OUTLINED THE REQUIREMENTS FOR OFFICERS OF THE CORPORATION; WHEREIN, THE UPDATED BYLAWS CLARIFY THAT THE BOARD OF DIRECTORS, ITS OFFICERS, AND MEMBERS MAKE ALL GOVERNING DECISIONS FOR AND ON BEHALF OF THE CORPORATION. 9. ARTICLE VI OF THE NEW BYLAWS REMOVE VERBIAGE RELATED TO THE EXECUTIVE COMMITTEE AND ITS MULTIPLE FUCTIONS. ALSO, THE NOMINATING COMMITTEE, OPERATING COMMITTEE, AND OPERATING SUBCOMMITTEES (FUNDRAISING AND PUBLIC RELATIONS)HAVE BEEN REMOVED FROM THE BYLAWS. ACCORDINGLY, THESE COMMITTEES AND SUBCOMMITTEES NO LONGER OPERATE OR EXIST. 10. ARTICLE VI OF THE NEW BYLAWS WAS ALSO REVISED TO REMOVE REDUNDANT VERBIAGE RELATED TO COMMITTEES BEING SOLEY COMPRISED OF MEMBERS OF THE BOARD OF DIRECTORS. ALTHOUGH BOARD COMITTEES ARE STILL COMPRISED SOLELY OF MEMBERS OF THE BOARD OF DIRECTORS, REDUNDANT AND UNNECESSARY WORDING WAS REMOVED IN ARTICLE VI TO THIS END. 11. ARTICLE VII SECTIONS RELATED TO THE MAINTENANCE OF RECORD-KEEPING WAS ADJUSTED TO 1) REFLECT AFOREMENTIONED CHANGES IN THE BYLAWS THAT REQUIRED MEMBERS OF THE BOARD OF DIRECTORS TO BE RESIDENTS OF RUSH COUNTY AND 2) TO CLARIFY THAT THE BOARD OF DIRECTORS IS RESPONSIBLE FOR MAINTAINING PERMANENT RECORDS OF CORPORATE MEETINGS AND MINUTES VERSUS RECORD MAINTENANCE BEING THE SOLE RESPONSIBLITY OF THE CORPORATION AS IN THE PRIOR BYLAWS. 12. FINALLY, ARICLE VII MAKES PROVISION FOR THE BOARD OF DIRECTORS TO RETAIN THE SERVICES OF A CPA FIRM TO PROCESS FINANCIAL TRANSACTIONS AND SUBMIT MONTHLY REPORTS TO THE CORPORATION.
