Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization has a number of different members who pay dues as a member of the professional logging contractors of maine.

Form 990, Part VI, Section A, Line 7A

Members elect the members of the board of directors at the annual meeting.

Form 990, Part VI, Section B, Line 11B

Haverlock, estey & curran maintain the books and complete form 990. The form 990 is then sent to professional logging contractors of maine where it is reviewed by select board members and filed accordingly.

Form 990, Part VI, Section B, Line 12C

If a conflict of interest is disclosed then the chairman of the board of directors will determine whether to: take no action; assure full disclosure to the board of directors and other individuals covered by this policy; ask the person to recuse from participation in related discussions or decisions within the organization; or ask the person to resign. If resignation is refused, the person is subject to removal by the executive committee of the board of directors.

Form 990, Part VI, Section B, Line 15

Compensation is reviewed and approved by the executive committee yearly. Comparable data of compensation of individuals in similiar organizations is used. Documentation of this is kept contemporaneously in the executive committee meeting notes. This policy directly relates to any cheif executive or director with three years seniority receiving in excess of $150,000 salary.
