Governance Explanations

Form 990, Part VI, Section A, Line 4

Rap revised their bylaws during the year to accomplish the following: the board may ask a particular board member to serve a fourth consecutive three-year term if that member brings specific skills or value that other members cannot provide. Board member appointment to a fourth three-year term requires the affirmative vote of two-thirds (2/3) of the directors at any meeting so noticed for that action.

Form 990, Part VI, Section B, Line 11B

Management review form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Board members annually sign statements indicating their status with any conflicts, or lack of any conflicts. Employees sign a conflict of interest statement upon employment and must report any circumstances and changes of status annually.

Form 990, Part VI, Section B, Line 15

Salary levels are set by reference to national surveys and similar organizations in similar markets. Individual salary recommendations are approved by the board of directors during the annual budget process.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are available upon request.
