“The prepared Form 990 is reviewed by the CEO. The Form 990 is then presented to the Board of Directors Finance Committee for review and acceptance. The Board Finance Committee then presents the forms to the Governing Board with an oral summary of the submission and their opinion on it. If the full Board concurs the forms will be signed and submitted to the IRS. All members get a copy of the approved 990.”

“The OHI Conflict of Interest Policy is reviewed and signed as being read annually by all officers, directors and employees of the organizations. In any situation where an identified conflict occurs, the individuals involved are not allowed to approve or authorize the others transactions or reimbursements. If OHI has reasonable cause to believe that an individual has failed to disclose actual or possible conflicts of interest, it shall inform the individual of the basis for such belief and afford them an opportunity to explain the alleged failure to disclose. If after hearing the response of the individual and making such further investigation as may be indicated in the circumstances, OHI determines that the individual has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate action.”

“The analysis of the salary and benefits of OHI's Highly Compensated employees was prepared by Shirley Sprague, Director of Human Resources. The report is based on the Maine Association of Nonprofits Wage Report, Guidestar salary information and other sources. There is no indication of OHI's executive compensation being outside of the norm. The full Board of Directors approved the report on November 2, 2023.”
