The sole member of the organization, mainehealth ein 01-0431680 has the responsibility for the election of the members of the governing body.

Form 990, Page 6, Part VI, Line 7B

There are decisions by the governing body that require approval by the member, mainehealth ein 01-0431680. These do include: 1. The removal of a director from the board; 2. The approval of the sale, lease or disposition of all, or substantially all, of the assets and property of the corporation; 3. The dissolution of the corporation of its merger with or consolidation with another corporation; 4. Any other matter which, by a majority vote of the governing body, the governing body determines should be submitted to the member.

As indicated in 12b, smhc requires current and former officers, directors, trustees, and key employees to complete an annual questionnaire concerning any potential conflicts of interests. The organization reviews the responses to these documents and addresses any issues immediately. In addition, we have added another questionnaire that specifically addresses the concerns regarding transactions involving current or former officers, directors, trustees, and key employees and certain parties that are related to these individuals.

The process followed for determining compensation of the ceo and other key administrative employees of the organization is a formal process performed annually by the executive committee of the board of directors. A related organization uses an outside firm, sullivan cotter, to perform an independent benchmark analysis for the ceo of smhc, along with other executives in the mainehealth system. The firm meets with the executive committee to review each executive's benchmark report. The committee then deliberates on mainehealth's written salary and incentive plan philosophy before making a final decision. All decisions and meetings are captured in minutes and there are appropriate approvals at all levels.

In fy17, smhc began offering urology services in biddeford, and imat (integrated medication assistance treatment) in saco. In addition to these new services, smhc began offering 3-d mammography in biddeford & sanford.

(continuation) smhc proudly sponsors community organizations, civic organizations and special events. Smhc airs a weekly radio program featuring smhc physicians talking about important health topics. The radio programs are also shared through social media as podcasts. Each month, smhc sponsors numerous free and low-cost health classes, and support groups. Each year smhc participates in health fairs and business events, and offers special events like free screening clinics and information sessions. Assistance is also offered to patients in need of medication assistance, help with insurance and medical issues, as well as personal issues including tax information, finances and home needs.

SMHC HAD 49,045 EMERGENCY ROOM VISITS, 111,846 RADIOLOGICAL PROCEDURES, AND 6,864 SURGICAL CASES. THIS INCLUDES PATIENTS WHO ARE UNDERINSURED OR THOSE WITHOUT INSURANCE. IN ADDITION TO THE CHARITABLE CARE SERVICES, WE ARE CONTINUALLY ABSORBING ALL THE COSTS ASSOCIATED WITH PROVIDING THE COMMUNITY WITH A VARIETY OF SPECIAL COMPLIMENTARY EDUCATIONAL AND INFORMATIONAL SERVICES. (CONTINUED ON SCHEDULE O) (CONTINUATION) SMHC PROUDLY SPONSORS COMMUNITY ORGANIZATIONS, CIVIC ORGANIZATIONS AND SPECIAL EVENTS. SMHC AIRS A WEEKLY RADIO PROGRAM FEATURING SMHC PHYSICIANS TALKING ABOUT IMPORTANT HEALTH TOPICS. THE RADIO PROGRAMS ARE ALSO SHARED THROUGH SOCIAL MEDIA AS PODCASTS. EACH MONTH, SMHC SPONSORS NUMEROUS FREE AND LOW-COST HEALTH CLASSES, AND SUPPORT GROUPS. EACH YEAR SMHC PARTICIPATES IN HEALTH FAIRS AND BUSINESS EVENTS, AND OFFERS SPECIAL EVENTS LIKE FREE SCREENING CLINICS AND INFORMATION SESSIONS.
