Northside economic opportunity network, the sole member, has the power to appoint any or all members of the board.

The sole member has the following rights and powers concerning governance decisions: 1. To appoint and remove any or all board members of the board of directors. 2. To propose amendments to the articles of incorporation or bylaws for consideration by the board of directors. 3. All other rights and powers of members pursuant to chapter 317a of the minnesota statutes. None of the following actions shall be effective without the express written approval of the member: 1. Appointment of the president; 2. Amendment of the articles of incorporation or bylaws; 3. Adoption of this corporation's strategic plans, capital budgets and operating budgets; 4. Approval of any plan of merger or consolidation by this corporation with any foreign or domestic corporation, voluntary dissolution of this corporation, or sale, lease, mortgage, encumbering or transfer of any of this corporation's assets over limits established from time to time by resolution adopted by the member; 5. Adoption of policies regarding the implementation of any of the rights and powers described in this section 1.4 of the organization's bylaws (all of which have been described above); 6. Electing to sell or otherwise transfer all or substantially all assets of this corporation.

The conflict of interest policy described below is implemented by northside economic opportunity network (neon) staff on behalf of neon real estate. The sole member of neon real estate holding company is neon. Prior to board or committee action on a contract of transaction involving a conflict of interest, a director or committee member having a conflict of interest and who is in attendance at the meeting shall disclose all facts material to the conflict of interest. A person who has a conflict of interest shall not participate in or be permitted to hear the board or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. A person who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Responsible persons who are not members of the board of directors of neon, or who have a conflict of interest with respect to a contract or transaction that is not the subject of board or committee action, shall disclose to the chair or the chair's designee any conflict of interest that such responsible person has with respect to a contract or transaction. Such disclosure shall be made as soon as the responsible person knows the conflict of interest. Each new responsible person shall be required to review a copy of this policy and acknowledge in writing that he or she has done so. Each responsible person shall annually complete a disclosure form identifying any relationships, positions or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions or circumstances might include service as a director of or consultant to a nonprofit organization, or ownership of a business that might provide goods or services to neon real estate holding company. Each member of the board of directors shall review this policy annually.
