Governance Explanations

Part VI, Line 11B

A draft of Form 990 is prepared by the organization's CFO. The draft is then reviewed by key financial personnel for accuracy and completeness. Once reviewed internally, the draft is shared with the board of directors prior to filing. Board members are given an opportunity to ask questions and provide feedback. Any necessary revisions are made before the final version is submitted to the IRS.

Part VI, Line 12C

The organization regularly and consistently monitors and enforces compliance with its conflict of interest policy. All board members and key employees are required to complete and sign an annual conflict of interest disclosure form. These disclosures are reviewed by the Executive Director and/or the boards governance committee. Any potential conflicts are evaluated, and appropriate actions are taken to manage or avoid them. Additionally, individuals are reminded of the policy at the beginning of each board year and are expected to recuse themselves from discussions or decisions where a conflict exists.

The organization began independent operations mid-December 2024 therefore at the end of the calendar year, the organization had three board members. The organization recognizes the importance of a diverse and independent governing body and is actively in the process of onboarding at least two new independent board members in the upcoming year. This effort is part of our ongoing commitment to strengthen governance and enhance oversight.

Two of the organization's key employees are married to each other. This relationship has been disclosed to the board of directors, and appropriate measures have been taken to ensure transparency and mitigate any potential conflicts of interest in accordance with the organization's conflict of interest policy.

An independent audit will be conducted in the organizations first full year of operations. While a formal audit committee has not yet been established, the board of directors currently assumes responsibility for overseeing the selection of the independent accountant and the audit process. The organization plans to evaluate the formation of a dedicated audit or finance committee as it grows and its governance structure evolves.
