“I. Purpose of the Policy. The purpose of this policy is to create a process for preparation and review of the Form 990 and its distribution to all board members of The Red Tent Fund (the Organization) whether before or after filing with the Internal Revenue Service. This process will provide the board members the opportunity to review the Form 990 while also ensuring that annual filing deadlines may be met.II. Procedure for Preparation and Review of Form 990. The Organizations CEO is responsible for the timely preparation of the Form 990. The Organizations CEO may confer with accountants and legal counsel of the Organization with respect to drafts of the Form 990. Copies of the completed Form 990 (including required schedules) will also be reviewed by the finance committee prior to filing and distributed to the board after filing. Any questions or concerns will be noted and addressed, and the CEO shall ensure that any appropriate changes are incorporated into the Form 990, which then shall be signed by the CEO or other authorized officer of the Organization. III.Filing of Form 990 (with possible prior distribution to the governing body). The Form 990 shall then be filed with the IRS on a timely basis; provided, if management considers it feasible and appropriate under the circumstances, it may distribute the final version of the Form 990 (with required schedules) to every voting member of the organizations Board of Directors prior to filing with the Internal Revenue Service. The final form may be distributed either in paper or electronic form in any manner deemed appropriate by the Organizations CEO or Finance Committee Chair.IV.Distribution of Form 990 to All Members of Governing Body. A copy of the filed Form 990, if the final version was not circulated prior to filing, shall be circulated to the Board of Directors as promptly as reasonably practical after the filing, and in no case later than its next regular meeting following such filing. For the manner of distribution, see III. above.”
“PROCEDURES1. Duty to Disclose: In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the fi nancial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement.2. Determining Whether a Conflict of Interest Exists: After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.3. Procedures for Addressing the Conflict of Interest:a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.b. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.c. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.d. If a more advantageous transaction or arrangement isnt reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.4. Violations of the Conflict of Interest Policy:a. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.b. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.”
“EXECUTIVE DIRECTOR EVALUATIONAnnual Performance Review. The Board shall conduct an annual performance review of the Executive Director on a date set by the Executive Committee Review Process. The review process shall include: (a) A written self-assessment completed by the Executive Director; (b) Evaluation by the Executive Committee against established performance goals and organizational objectives; (c) Assessment of the Executive Director's performance in key areas including organizational leadership, financial stewardship, mission advancement, and board relations; (d) Input from board members and staff, and other stakeholders as deemed appropriate by the Executive Committee.Performance Goals. The Board shall establish annual performance goals for the Executive Director at the beginning of each fiscal year, which shall align with the organization's strategic priorities and mission.Documentation and Reporting. The Executive Committee shall document the review results in writing and present a summary report to the full Board. The complete review shall be maintained in the Executive Director's personnel file.Board Action. Following the Executive Committee's review, the Board may take such action as it deems appropriate, including setting compensation, establishing goals for the subsequent year, or providing professional development support.”

The purpose of this policy is to create a process for preparation and review of the Form 990 and its distribution to all board members of The Red Tent Fund (the Organization) whether before or after filing with the Internal Revenue Service. This process will provide the board members the opportunity to review the Form 990 while also ensuring that annual filing deadlines may be met.II. Procedure for Preparation and Review of Form 990. The Organizations CEO is responsible for the timely preparation of the Form 990. The Organizations CEO may confer with accountants and legal counsel of the Organization with respect to drafts of the Form 990. Copies of the completed Form 990 (including required schedules) will also be reviewed by the finance committee prior to filing and distributed to the board after filing. Any questions or concerns will be noted and addressed, and the CEO shall ensure that any appropriate changes are incorporated into the Form 990, which then shall be signed by the CEO or other authorized officer of the Organization. III.Filing of Form 990 (with possible prior distribution to the governing body). The Form 990 shall then be filed with the IRS on a timely basis; provided, if management considers it feasible and appropriate under the circumstances, it may distribute the final version of the Form 990 (with required schedules) to every voting member of the organizations Board of Directors prior to filing with the Internal Revenue Service. The final form may be distributed either in paper or electronic form in any manner deemed appropriate by the Organizations CEO or Finance Committee Chair.IV.Distribution of Form 990 to All Members of Governing Body. A copy of the filed Form 990, if the final version was not circulated prior to filing, shall be circulated to the Board of Directors as promptly as reasonably practical after the filing, and in no case later than its next regular meeting following such filing. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.4. Violations of the Conflict of Interest Policy:a. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.b. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. |
