PorchLight Gives maintains a written Conflict of Interest Policy requiring annual disclosure of financial interests by directors officers and key employees. Potential conflicts are reviewed by the Board prior to approval of any transaction. Individuals with a conflict must disclose the material facts and recuse themselves from discussion and voting. Disinterested Board members determine whether the transaction is fair reasonable and in the best interest of the organization and may obtain comparable bids or other documentation to ensure fairness. If a conflict is identified after a transaction has occurred the Board reviews the matter documents its findings and takes corrective action as appropriate. All determinations are recorded in the meeting minutes.
