Copies of the form are then sent to all members of the board of directors for review and comment. After responding to all inquiries and making any necessary changes, the final version is signed by the chief financial officer and filed with the internal revenue service.”
“The board of directors has established and enforces a conflicting interest transactions policy ("conflicting interest transactions policy"). The provisions of the conflicting interest transactions policy include: a requirement for timely disclosure of the existence and nature of a director's or officer's conflicting interest and all facts known by a director or officer respecting the subject matter of the transaction that a director or officer free of such conflicting interest would reasonably believe to be material in deciding whether to proceed with the transaction; a description of a director's or officer's conflicting interest transaction; and a procedure for disclosing and reporting a conflicting interest transaction. “Impacthealth-tn qualifies as a tax-exempt organization under section 501(c)(3) of the internal revenue code and, accordingly, is exempt from federal and state income taxes. Impacthealth-tn files an irs form 990 annually. Impacthealth-tn accounts for uncertain tax positions in accordance with provisions of financial accounting standards board ("fasb") accounting standards codification ("asc") 740-10 accounting for uncertainty in income taxes, which provides a framework for how companies should recognize, measure, present and disclose uncertain tax positions within the consolidated financial statements. With these changes, impacthealth-tn may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. Impacthealth-tn does not have any uncertain tax positions and did not record any penalties or interest associated with uncertain tax positions as of december 31, 2024.”
