“The Form 990 was reviewed by all three members of the governing body prior to filing at a duly noticed board meeting. Each board member was provided a complete copy for review and had the opportunity to raise questions or concerns before the organization's authorized officer signed and filed the return.”

“The organization monitors compliance with its conflict of interest policy through annual written disclosures required of all officers and directors, reviewed at the first board meeting of each fiscal year. The board reviews disclosed interests and recuses affected members from relevant votes. The organization maintains a policy prohibiting officers and directors from working for competitors.”

“The board unanimously resolved that compensation for all officers and directors shall be $0 for the current tax year, in furtherance of the nonprofit's mission. Upon the organization reaching a cash reserve threshold of $2,000,000 in future years, the board shall conduct a formal compensation review considering each director's tenure, contribution to the organization's mission and growth, and prevailing market rates for comparable positions at that time. No compensation obligation accrues under this resolution.”
