“A.duty to disclose: covered members shall disclose any interest and be given the opportunity to disclose all material facts to the respective governing body that is considering a proposed transaction or arrangement. B.determining whether a conflict of interests exists: the respective governing body will take into consideration all material facts including discussion in determining if a conflict of interest exists. C.procedures for addressing the conflict of interest: the governing body shall consult its policies/bylaws and determine whether the transaction or arrangement is in the best interest of the ehr for its own benefit and whether it is fair and reasonable. The outcome of any action(s) arising from the investigation of the conflict of interest will determine whether or not the governing body proceeds with the transaction or arrangement. D.violations of the conflicts of interest policy: if the governing body has reasonable cause to believe a member has failed to disclose any actual or possible conflict of interest, it shall notify that member and afford the member the opportunity to explain why the alleged conflict of interest was not disclosed. If the governing body determines that the member failed to disclose the conflict of interest, it shall take appropriate disciplinary and corrective action in accordance with its policies/bylaws. E.record keeping: the governing body shall record and maintain records of any real or possible conflict of interest declaration and the resulting actions taken. Violations of its conflict of interest policy shall be recorded and kept on record in accordance with state and federal law. F.periodic reviews: to ensure the ehr is operating in a manner consistent with this policy and does not engage in activities that could be identified as having a conflict of interest, periodic reviews shall be conducted by the governing body with the assistance of the regional corporate compliance officer.”
