Conflict of interest disclosures are made via an annual disclosure statement that covered persons are required to review and sign. 3. Upon a covered person's disclosure of an interest in a transaction, the board or a committee of the board, in consultation with counsel if necessary, will determine whether a conflict of interest exists. 4. If it is determined that a conflict exists or that there is an appearance of a conflict, the transaction may be approved only upon a vote of a majority of the disinterested directors, or, if there are no disinterested directors, by unanimous vote of the directors. The covered person may be present for the discussion in order to respond to questions and elaborate on the information presented. Upon request of the disinterested directors, the covered person will be required to excuse himself or herself from the vote on the transaction. In any event, the covered person, if a director of oceanx education, will abstain from voting on the transaction except insofar as the policy requires a unanimous vote.

The organization had three volunteer board members and two volunteer officers.

FORM 990, PART III, LINE 4:

2024 singapore educational and public programming in september 2024, oceanx education carried out a series of educational events and programs in singapore, including conducting 20+ portside tours of the oceanxplorer for hundreds of students, educators, and others to increase public awareness of the importance of ocean research and conservation and engage students and educators to inspire interest in ocean science. 2024 yep v & yep vi the young explorer's program (yep) is an educational program intended to expose students with an interest in the oceans to scientific exploration, science communications and vessel operations. We completed two yep programs that included students and educators from around the world. The program includes three components: 1) oceanographic and marine biological studies; 2) science communications including short and long form visual media; and 3) ship operations including functions of various crew departments. Educational programming in indonesia in partnership with a local partner, oceanx education implemented portside programs in jakarta and bali in collaboration with the indonesian ministry of education. Programs reached hundreds of students and educators from and offered experiential learning centered around marine biology, ocean research, and preservation. Event livestreams oceanx education helped facilitate a historic livestream from a submersible 300m below the surface, connecting a deep-sea biologist in a submersible and our on-ship science team to a feed that was sent directly into the world economic forum in davos, switzerland. The feed was also shared globally via oceanx and the world economic forum's youtube channel. The goal of this was to connect audiences to a part of the planet accessible by only a few, and to foster a conversation between the most knowledgeable deep-sea explorers and an audience of global leaders. Classroom livestreams oceanx education helped facilitate classroom livestreams that brought ocean education and maritime operations to classrooms worldwide, with over 5,000 students having curated sessions of ocean learning in 2024. Digital partnerships and exhibits in 2024, oceanx education launched digital partnerships and educational exhibits. Key initiatives included piloting vr/ar experiences such as the "dive and discover: seychelles" game for vr headsets and the oceanxplorer porta. The team also worked on developing a digital twin of the oceanxplorer. Educational tours and programs for students were successfully completed in multiple locations, including manila and singapore.

WE COMPLETED TWO YEP PROGRAMS THAT INCLUDED STUDENTS AND EDUCATORS FROM AROUND THE WORLD. THE PROGRAM INCLUDES THREE COMPONENTS: 1) OCEANOGRAPHIC AND MARINE BIOLOGICAL STUDIES; 2) SCIENCE COMMUNICATIONS INCLUDING SHORT AND LONG FORM VISUAL MEDIA; AND 3) SHIP OPERATIONS INCLUDING FUNCTIONS OF VARIOUS CREW DEPARTMENTS. EDUCATIONAL PROGRAMMING IN INDONESIA IN PARTNERSHIP WITH A LOCAL PARTNER, OCEANX EDUCATION IMPLEMENTED PORTSIDE PROGRAMS IN JAKARTA AND BALI IN COLLABORATION WITH THE INDONESIAN MINISTRY OF EDUCATION. PROGRAMS REACHED HUNDREDS OF STUDENTS AND EDUCATORS FROM AND OFFERED EXPERIENTIAL LEARNING CENTERED AROUND MARINE BIOLOGY, OCEAN RESEARCH, AND PRESERVATION. EVENT LIVESTREAMS OCEANX EDUCATION HELPED FACILITATE A HISTORIC LIVESTREAM FROM A SUBMERSIBLE 300M BELOW THE SURFACE, CONNECTING A DEEP-SEA BIOLOGIST IN A SUBMERSIBLE AND OUR ON-SHIP SCIENCE TEAM TO A FEED THAT WAS SENT DIRECTLY INTO THE WORLD ECONOMIC FORUM IN DAVOS, SWITZERLAND. DIGITAL PARTNERSHIPS AND EXHIBITS IN 2024, OCEANX EDUCATION LAUNCHED DIGITAL PARTNERSHIPS AND EDUCATIONAL EXHIBITS. KEY INITIATIVES INCLUDED PILOTING VR/AR EXPERIENCES SUCH AS THE "DIVE AND DISCOVER: SEYCHELLES" GAME FOR VR HEADSETS AND THE OCEANXPLORER PORTA.
