Vacancies on the organization's Board of Directors arising from the departure of a director designated by PFCF shall be filled through a process that includes input from PFCF and consideration by the remaining Board members. The presence of PFCF-designated directors contributes to the establishment of a quorum, and is intended to support the Board's deliberations and decision-making processes.

Form 990, Part VI, Line 12C Conflict of interest policy

In connection with any actual or possible conflict of interest, an Interested Person must disclose the arrangement and be given the opportunity to disclose all material facts to the directors and members of governing committees considering the proposed transaction or arrangement, with "Interested Person" being defined as any director, officer, or member of a committee with Board of Directors' delegated powers. After disclosure of the arrangement and all material facts, and after any discussion with the Interested Person, the Interested Person shall leave the Board of Directors or governing committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining directors serving on the Board of Directors or governing committee members shall decide if a conflict of interest exists. After exercising due diligence, the Board of Directors or governing committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the Board of Directors or governing committee shall determine by a majority vote of the disinterested directors or members of the governing committee whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with this determination, the Board of Directors or governing committee shall make its decision as to whether to enter into the transaction or arrangement. Such discussions and decisions shall be documented either in the minutes of the Board of Directors or governing committee meeting and/or by written consents of applicable parties. Each Interested Person shall annually sign a statement which affirms such person: a. Has received a copy of the conflict of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the Organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax exempt purposes. To ensure the Organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: a. Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining. b. Whether partnerships, joint ventures, and arrangements with management organizations conform to the Organization's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.

IRS990/Desc0Catholic Revival Initiative, Inc. ("CRI") is focused on restoring and endowing Catholic parishes and schools across the United States, particularly those in low-income areas. The organization aims to acquire existing Catholic properties (either directly or through related entities like title holding companies or supporting organizations), restore them, and create sustainable endowment funds to relieve local leaders of financial burdens. These revitalized premises are intended to become not just places of worship, but also full-fledged community hubs. CRI plans to lease the properties back to parishes at nominal rates and manage renovations, fundraising, and property maintenance while promoting holistic community support. CRI's first project will be the restoration of the Basilica of Sainte Anne de Detroit (the "Ste. Anne Basilica Church"), a parish that was established in 1701 and is the second oldest continuously operating Roman Catholic parish in the United States. CRI will raise funds to complete capital improvements and other repairs and restoration work to the facility, and will establish an endowment fund to support the continued maintenance, repair, and improvement of the premises in perpetuity.
