“This policy covers all directors, officers and senior staff. In no event should a covered person vote upon a board matter, negotiate a transaction, or otherwise participate in the decision-making on a transaction in which he or she has a conflict of interest. Interested director(s) or other parties may be allowed to participate in preliminary discussions of the transaction, but interested directors may not participate in the final deliberation and vote, or other decision, regarding the transaction.”
