“Our by-laws prohibit board committees from acting on behalf of the organization without authorization from the full board of directors. The committee chairs report to the full board and recommendations may be given on various courses of action based on research that the committees have conducted. The committees meet four to six times per year - more, if necessary. The full board meets bi-monthly. Meeting minutes are taken during all committee and full board meetings. Committee reports and materials are presented as needed. Besides the governing board, we have a community advisory board that meets at least once a year. The members represent all islands. They meet with key decision makers on staff regarding programming, community outreach and initiatives.”

“The finance committee reviews the draft form 990 and presents the final form 990 to the full board of directors for review and action.”

“When the ceo is recruited, salary is established by the board of directors based on the recommendation of the executive committee. Several nonprofit umbrella organizations such as the hawaii employers council and hano conduct surveys of salaries of local nonprofits, and the organization of statewide broadcast executives monitors salary levels in the national public television system. These numbers are considered. Ceo salary increases are in alignment with fixed, across-the-board incremental increases, approved during the budgeting process. The ceo receives a performance evaluation from the board of directors annually. Based on this evaluation process, the ceo may receive a performance bonus of up to 20% of base salary.”

“All governing documents, policies, financial statements, and form 990 are available to the public upon request. Upcoming board meetings are publicized on our website. The documents available on our website are the audited financial statements, local content report, diversity report, and all reporting required by the fcc. All board meetings are open to the public. The finance committee assumes responsibility for oversight of the audit.”
