Phrei's board members include statutory members from vapihcs (va pacific islands health care system) and vacchcs (va central california health care system). Phrei is an affiliate of these organizations and does business with vapihcs and vacchcs.

The phrei directors have rights to elect members of the governing body and approve significant decisions of the governing body.

The audit & finance committee reviews the draft, which was prepared by the director of finance, executive director, and auditor, and recommends acceptance to the bod. The bod secretary signs the return.

Form 990, Part VI, Section B, Line 12C

The organization requires the directors, officers, and executive staff to sign an annual statement indicating they received, read, and understand the conflict of interest policy and that they have disclosed any actual or possible conflict of interest. The executive director reviews and forwards to the entire board of directors for determination of a conflict of interest. When an actual or possible conflict is identified, the director, officer or executive staff recuses themselves from the discussion and decision making.

Form 990, Part VI, Section B, Line 15

The compensation committee reviews independent salary surveys, comparable compensation for similarly qualified individuals and contemporaneously documents their decision making in establishing the compensation for the executive director position. The executive director's compensation is reviewed and set by the board of directors upon recommendation from the compensation committee. The compensation process for all staff except the executive director and investigators is determined by following the "guidelines and procedures for annual compensation review". This process was last undertaken in 2020.

Financial Statement Notes

PART X, LINE 2:

U.s. Gaap requires uncertain tax positions to be recognized in the financial statements if they are more likely than not to fail upon regulatory examination. Management has evaluated the tax positions of the institute as of december 31, 2024 and 2023 and for the years then ended, and determined that it had no uncertain tax positions required to be reported in accordance with u.s. Gaap. The institute is subject to routine audits by taxing jurisdictions; however, there are currently no audits in progress for any open tax periods.
