Governance Explanations

A draft copy of form 990 is provided to the ceo and the controller for evaluation of compliance and accuracy in reporting. The full board of directors approves the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that requires all board members and key officers to provide information as to potential conflicts. Conflict of interest procedures require only disinterested persons to make decisions. Board members are volunteers and serve without compensation.

Form 990, Part VI, Section B, Line 15

The ceo and key employees are evaluated on an annual basis and this process was last undertaken in 2024. Compensation is determined using comparable data from various compensation surveys. Surveys are used in conjunction with the following factors: years of experience, education, training, certifications, responsibility, authority, cost of living, budget size, number of employees managed, and performance. The ceo salary is approved by the board of directors after the annual evaluation committee conducts a performance evaluation. This information is documented in the executive session minutes and placed in the personnel file for the ceo. The ceo determines key employees' salaries in a similar manner and salary ranges are set using compensation surveys and comparables at similar health care institutions in the local community. Employee benefits are reviewed annually along with compensation to assure that benefits are equal to other community nonprofits. This information is documented with salary surveys by the human resources department.

Financial Statement Notes

PART X, LINE 2:

U.s. Gaap requires uncertain tax positions to be recognized in the financial statements if they are more likely than not to fail upon regulatory examination. Management has evaluated the organization's tax positions as of september 30, 2024 and 2023, and for the years then ended, and determined that the organization had no uncertain tax positions required to be reported in accordance with u.s. Gaap. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits in progress for any open tax periods.
