Governance Explanations

Form 990, Part VI, Section A, Line 2

Peter s. Ho, chairman of bank of hawaii's board of directors, also serves on the east-west center's board of governors as vice chair. Suzanne vares-lum, president of the east-west center, also serves on bank of hawaii's board of directors. Ms. Vares-lum is paid by bank of hawaii to serve on their board of directors. As chairman, mr. Ho does not have control over the compensation she receives for this role, nor does he possess the authority to remove her from this position, as responsibility for both is held by bank of hawaii's board.

Form 990, Part VI, Section A, Line 7A

The organization was established as an educational nonprofit public corporation by act 82, sessions laws of hawaii 1975, by the legislature of the state of hawaii pursuant to authorizing legislation public law 86-472, chapter vii, enacted by the united states congress. The legislation provided that the board of governors (board) will consist of 18 members: 17 voting and 1 non-voting member. It also provided that the governor of hawaii and the united states assistant secretary of state shall be ex-officio members of the board and that they each may appoint 5 members to the board. The remaining 5 members are elected by members of the board.

Accounting prepares and reviews the tax return. The treasurer reviews the return and a certified public accounting firm performs the final review. A copy of the finalized return is presented to and reviewed by the board prior to it being filed with the irs.

An annual survey is sent to officers, board members, and key employees requesting disclosure of any family and business relationships and transactions or other transactions that could give rise to conflicts of interest. Board members are required to disclose real or potential conflicts at the time when such conflicts arise. Transactions that may pose a potential conflict must be disclosed to and may be entered into only with, the authorization, approval, or ratification of the board of directors, its members, or a committee of the board. Interested person(s) must disclose the nature of their interest. The transaction shall be authorized, approved, or ratified only with the majority affirmative vote of governors with no direct or indirect interest in the transaction. All employees are provided with a handbook containing the conflict of interest policy.

Form 990, Part IV, Line 28A

The following payments were made to the organizations or companies that the directors work for, are board members of, or represent and not to the individuals directly. Peter s. Ho, chairman and ceo of bank of hawaii, serves on the east-west center's board of governors, and previously served on the east-west center's finance and audit committee. Suzanne vares-lum is a member of the board of directors of bank of hawaii, and serves as president of the east-west center. To avoid potential conflicts of interest, ms. Vares-lum will recuse herself from any votes by bank of hawaii's board related to the east-west center. Investment management fees: bank of hawaii manages the center's investment portfolio. Mr. Ho recused himself from the vote to select the portfolio manager. Bank of hawaii, one of the leading banks in hawaii that provides investment management services, was selected by the remaining committee members. This selection predates ms. Vares-lum becoming president of the center or a member of bank of hawaii's board. The transaction represents amounts paid at standard rates available for investment management services to bank of hawaii. Line of credit: the center requested quotes on a line of credit from bank of hawaii and first hawaiian bank, two of the state's leading financial institutions. Bank of hawaii was selected by the finance and audit committee as it offered lower rates, due to a willingness to accept the center's investment portfolio as collateral. Mr. Ho did not serve on the committee at the time of the vote. The transaction represents amounts paid at standard rates available for lines of credit from bank of hawaii. Bank of hawaii is a publicly traded company. These transactions were entered into in the ordinary course of bank of hawaii's business on the same terms offered to the general public. Therefore, it is not necessary to complete schedule l.

PART X, LINE 2:

At september 30, 2023 and 2022, management believes there were no significant uncertain tax positions and there were no pending federal or state income tax audits. The federal statute of limitations remains open for the center for the years ended september 30, 2020 through 2022. The center is not subject to income taxes in the u.s. Federal jurisdiction and the state of hawaii. Tax regulations within each jurisdiction are subject to interpretation of the related tax laws and regulations and require significant judgement to apply.

Schd, Part III, Line 1A

The ewc collection is comprised of works of art that are held for display/exhibition, research, and educational purposes. Each of the items is cataloged, preserved, and cared for. The majority of the collection is on display in ewc facilities including john a. Burns hall, imin conference center, and ewc washington office. Objects that are not on display are held in designated storage spaces managed by the ewc arts program. All works in the collection have been gifted to the center. The ewc does not actively purchase works of art to hold in the collection. The ewc has one single accessioned collection that is comprised of artworks and cultural objects that have been donated to the center by heads of governments and institutions, alumni chapters, professional colleagues, artists, scholars, ewc students, and staff members. These objects are formally accessioned into the collection and cataloged in our digital collection management system. To date, we do not appraise individual artworks or retain records of estimated value.

Schd, Part III, Line 4

Since its founding in 1960, the east-west center has received hundreds of gifts of art and artifacts reflecting the cultural and artistic richness and diversity of asia, the pacific, and the united states. These donations have been made by heads of governments and institutions, alumni chapters, professional colleagues, artists-in-residence, scholars, ewc students, and staff members. The arts have always been integral to the east-west center and its mission. Acclaimed modernist architect i. M. Pei designed two of the first buildings on campus the iconic jefferson hall and hale manoa residence hall for students, as well as uh-mnoa's adjacent kennedy theatre. Pei's buildings are complemented by landscape architect kenzo ogata's japanese garden that was presented to the center in 1963 by a group of japanese businesses and constituted the ewc's first major international gift. In keeping with the center's mandate to promote better relations and understanding among the people and nations of the region, the works of the east-west center permanent collection primarily serve an educational purpose, and include treasured works by artists from and influenced by hawai'i, the pacific, and asia. Jefferson hall is home to murals, frescoes, paintings, and sculptures by artists from aotearoa (new zealand), china, hawai'i, indonesia, japan, and korea. Jefferson hall was later renamed the hawai'i imin international conference center in 1985 to celebrate the centennial of japanese immigration to hawai'i. A pair of chinese guardian lions flank jefferson hall, while a royal thai sala overlooks it. While jefferson hall displays numerous large art works of significant historical significance, the majority of the permanent collection are found in the public lobbies and corridors of john a. Burns hall, the center's primary office building. Donors and supporters of the east-west center continue to contribute extraordinary and unique works to the collection. The first curator at the east-west center was jeannette "benji" bennington, whose vision led to the creation of the east-west center gallery in 1995. She personally designed the gallery, and the inaugural exhibition featuring contemporary works of hawai'i artist john young. During bennington's tenure, she ran a vibrant exhibition series that included international artist residencies and saw a flurry of activities with visiting artists. Over the years, many artists-in-residence, fine arts students, and visiting artists donated their original artworks to the collection and represent a diverse variety of subjects, themes, styles, and techniques. Behind each piece, there are stories to be shared of the vision of the artist and their connection to the east-west center. The stories of the east-west center are embodied in these unique artworks. Taken together, these works convey the illustrious history of artistic engagement at the east-west center. Each work of art in the east-west center permanent collection serves as a window to understanding the cultures and the arts of the vibrant asia pacific region.

IRS990/Desc0SINCE 1960, THE EAST-WEST CENTER (CENTER) HAS A LONG AND PROUD LEGACY PROMOTING BETTER RELATIONS AND UNDERSTANDING AMONG THE PEOPLE AND NATIONS OF THE UNITED STATES, ASIA, AND THE PACIFIC THROUGH COOPERATIVE STUDY, RESEARCH, AND DIALOGUE. THE CENTER SERVES AS A RESOURCE FOR INFORMATION AND ANALYSIS ON CRITICAL ISSUES OF COMMON CONCERN, BRINGING PEOPLE TOGETHER TO EXCHANGE VIEWS, BUILD EXPERTISE, AND DEVELOP POLICY OPTIONS. AS A NATIONAL, PUBLIC DIPLOMACY INSTITUTION, THE CENTER WORKS IN PARTNERSHIP WITH ORGANIZATIONS THROUGHOUT THE UNITED STATES (U.S.) AND IN THE REGION. THE COLLABORATIVE RESEARCH, EDUCATION, SEMINARS AND OUTREACH, AND OTHER PROGRAMS BRING TOGETHER AMERICANS AND COUNTERPARTS FROM ASIA AND THE PACIFIC TO WORK IN AN ATMOSPHERE OF ACADEMIC FREEDOM ON ISSUES OF MUTUAL IMPORTANCE. THE CENTER'S EXCHANGE AND DIALOGUE PROGRAMS INVOLVE MULTI-COUNTRY, REGION-WIDE ACTIVITIES INVOLVING EVERYONE AS FULL PARTICIPANTS. IN FY'23 THE CENTER PROVIDED 1,442 PARTICIPANT AWARDS TO PEOPLE FROM 69 COUNTRIES AND 43 US STATES AND TERRITORIES. WHILE MORE INFORMATION ON THE CENTER AND ITS PROGRAMS MAY BE FOUND AT OUR WEBSITE (WWW.EASTWESTCENTER.ORG), THE FOLLOWING IS A HIGHLIGHT OF THE PROGRAM ACTIVITIES DURING THE YEAR. RESEARCH PROGRAM: THE RESEARCH PROGRAM EXECUTES POLICY-RELEVANT, ACTIONABLE RESEARCH PROJECTS IN FOUR KEY AREAS: CLIMATE CHANGE AND THE ENVIRONMENT; REGIONAL GEOPOLITICS; PUBLIC HEALTH (HIV/AIDS AND COVID-19); AND ECONOMICS AND DEMOGRAPHIC CHANGE. THE CENTER'S RESEARCH PROGRAM LAUNCHED A NEW FELLOWSHIP DURING THE YEAR, THE RESEARCH INNOVATION COLLABORATION & EXCHANGE, OR RICE, TO FOSTER PROJECTS THAT HELP STRENGTHEN NETWORKS, PARTNERSHIPS, AND SHARED OUTCOMES IN THE REGION. OPEN TO RESEARCHERS, PRACTITIONERS, POLICY EXPERTS, AND JOURNALISTS, THE INAUGURAL RICE FELLOWSHIPS ARE COVERING WORK ON ASIA'S ROLE IN THE ARCTIC, THE US-AUSTRALIA ALLIANCE AND SOUTHEAST ASIA, AND WATER RESOURCES IN THE PACIFIC.
