“There are active, special, service, emeritus or retired members. Active members shall be limited to those members who are licensed to practice medicine and surgery in the state of hawaii and who are entitled to exercise the rights of membership in their component societies, including the right to vote. Special members in the association shall be limited to those members who are special members of the component societies. They shall have the same rights and privileges as active members, except the right to vote and hold office. Service members are commissioned medical officers who are members of a component society of the association shall have the same rights and privileges as active members. Retired members are physicians who are retired from active clinical or administrative practice of medicine. Retired members shall have the right to serve on committees and vote but need to maintain their licenses to practice medicine and surgery. Emeritus members are physicians who are over age 75 and have at least 15 previous consecutive years of membership in good standing in the hma. Emeritus members shall have the right to serve on committees and vote. Honorary membership may be granted by the action of council to distinguished members of the profession.”

“The council shall be the executive and administrative body of the association. The council shall consist of the councilors, officers of the association, delegate(s) and alternate delegates to the american medical association and presidents of each component society. Each component society (the hawaii county medical society, the honolulu county medical society, the kauai county medical society and the maui county medical society) shall have one councilor for every 50 activity members and fraction thereof on the council. In addition, there shall be 6 at-large councilors. The councilors shall be nominated and elected by the respective component society. The at-large councilors shall be elected by the general membership. Officers of the association shall be elected by the general membership. The officers shall be the president, president-elect, secretary, treasurer, and immediate past president. The officers of the association constitute the executive committee who has the authority to act for the council when not in session.”

“For 2024 a copy of the form 990 was provided to certain members of the executive committee and finance committee prior to filing. The preparer and finance committee are scheduled to meet to review the form 990 with them.”
