Finance and Compliance Manager in the US worked with U.S. tax counsel to complete this Form 990. Other employees of HSDF reviewed this form before it was filed.

Form 990, Part VI, Section B, Line 12C

The Organization has a Risk and Compliance Unit which is responsible for ensuring compliance with the conflict of interest policy. All Board of Trustee Members, Directors, Key Management Staff and Officers of the Organization are required to complete an Annual Conflict of Interest Declaration form and update the same as soon as a situtation arises that conflicts with their duties and responsibilities as officers of the Organization. The completed form is reviewed by the Risk and Compliance Unit and list of all companies where key officers and employees have interest are placed on a restrictive list. This is to ensure that business transactions with such companies are conducted at arms length, are cempetitive and due process will be followed to avoid bias in awarding contracts or business transactions with such companies. Where a material conflict is perceived, such companies, officers or employees are excluded from the bidding process and from taking decisions on the award of the project. The restricted list is updated on an annual basis at the same time as the annual conflict of interest declaration forms are being submitted.

Form 990, Part VI, Section B, Line 15A

The Organization has a Board Finance and Audit Committee that has the responsibility of determining the compensation of the CEO, directors and top management. The committee is made up of three Board of Trustee Members. Fixing the compensation of the CEO and key officers is done on the recommendation of the Compensation Committee to the Board after taking into consideration the approved amount by the donor organization, benchmark of compensation from similar organizations, and the skill set of the individual being engaged. The recommended compensation is then presented in a Board meeting for approval of the Board of Trustees.

A similar process is taken for fixing the compensation of other officers and employees of the organization. Senior management considers the compensation payable to an officer based on the required skill set and experience of the officer. Each grade level has a compensation band which is submitted to the orgsnization's compensation committee for review and then presented to the Board for approval. The approved compensation band is then used by Senior Management as a guide when fixing the compensation of a new hire.

HSDF provides a platform for the implementation of effective ideas, rigorous data analysis and innovative solutions aimed at strengthening the performance of health systems, improving the effectiveness of health service delivery, public health advisory, data management and technology, human resources for health and health financing. As a growing organization, HSDF needs to continue to build on its trajectory to ensure that it is adequately positioned to become a leading technical assistance provider on the African continent. This would require targeted support. The BMGF foundation is making a concerted effort to build the pipeline of strategic partners on the continent. As a part of this initiative the Health Strategy and Delivery Foundation HSDF has been identified as a strategic partner in the areas of Health System Strengthening and Data Analytics. This grant aims to support HSDF in its efforts to rebuild and reposition as a trusted partner, not just to BMGF, but to other stakeholders. Across Africa, there has been remarkable progress in building capacity across a multitude of sectors in both private and public institutions. The commitment to the Agenda 2063 is Africa's blueprint and master plan for transforming Africa into the global powerhouse of the future. Agenda 2063 speaks to the need for Africa to continue to make sustained and impactful investments to drive economic and social transformation across the continent. One of the national and regional priorities is clearly called out as Good governance including capable institutions. In April 2021, HSDF was awarded a business development grant with a focus on developing to provide support as technical advisors to governments and other stakeholders. Specifically, HSDF was targeted for its analytical and Health System Strengthening HSS capacity. This aligns with HSDF's strategic priorities for strengthening its capacity to provide thought leadership in the health and social sectors built on a strong foundation of solid stakeholder partnerships, data analytics and evidence-informed decision making. For this grant, we have focused efforts and categorized progress in the period under review into three main categories namely: Strategic Repositioning, Developing Institutional Capacity and Building Financial Sustainability. We successfully provided management capacity training in the Kaduna PHC Management Capacity Strengthening Project [KPMSP] for Officers-in-Charge [OICs] and Deputies of 255 priority Ward primary health care (PHC) facilities across all 23 local government areas (LGAs) in the State whilst working with state-owned institutions to build in-state capacity to implement similar interventions. The training was associated with a reduction of unapproved absenteeism across PHC facilities in the state from 79 percent at the commencement of the project to less than 20 percent at project close-out. There was also a reduction in the number of PHC facilities that reported loss of key equipment and infrastructure from 49 percent at baseline to less than 10 percent at the end of project.

HSDF provides a platform for the implementation of effective ideas, rigorous data analysis and innovative solutions aimed at strengthening the performance of health systems, improving the effectiveness of health service delivery, public health advisory, data management and technology, human resources for health and health financing. As a growing organization, HSDF needs to continue to build on its trajectory to ensure that it is adequately positioned to become a leading technical assistance provider on the African continent. This would require targeted support. The BMGF foundation is making a concerted effort to build the pipeline of strategic partners on the continent. As a part of this initiative the Health Strategy and Delivery Foundation HSDF has been identified as a strategic partner in the areas of Health System Strengthening and Data Analytics. This grant aims to support HSDF in its efforts to rebuild and reposition as a trusted partner, not just to BMGF, but to other stakeholders. Across Africa, there has been remarkable progress in building capacity across a multitude of sectors in both private and public institutions. The commitment to the Agenda 2063 is Africa's blueprint and master plan for transforming Africa into the global powerhouse of the future. Agenda 2063 speaks to the need for Africa to continue to make sustained and impactful investments to drive economic and social transformation across the continent. One of the national and regional priorities is clearly called out as Good governance including capable institutions. In April 2021, HSDF was awarded a business development grant with a focus on developing to provide support as technical advisors to governments and other stakeholders. Specifically, HSDF was targeted for its analytical and Health System Strengthening HSS capacity. This aligns with HSDF's strategic priorities for strengthening its capacity to provide thought leadership in the health and social sectors built on a strong foundation of solid stakeholder partnerships, data analytics and evidence-informed decision making. For this grant, we have focused efforts and categorized progress in the period under review into three main categories namely: Strategic Repositioning, Developing Institutional Capacity and Building Financial Sustainability.

Sustainably addressing delays in seeking and receiving appropriate maternal and obstetric care by strengthening healthcare systems and empowering women and providers in Lagos and Kaduna States. We remain committed to improving maternal health outcomes and with the launch of Project Aisha in partnership with our formidable consortium comprising of Ingress Health Partners (IHP), mDoc Healthcare and the Institute for Healthcare Improvement (IHI) we are set to do just that. We began activities in September 2022 to reduce maternal deaths and obstetric complications by 20 percent in selected locations in Lagos and Kaduna by 2023. Accomplishments from 2022-2023: 8,657 unique women were reached through our interventions; competencies of 223 healthcare workers were built on maternal related topics and QI methodology; established a MHQI collaborative made up of 24 health facilities; the collaborative have implemented 6 unique QI interventions focused on improving the quality of maternal services and patient statsfaction; established a QI mentorship program which consists of 11 LGA QI mentors to drive and sustain QI across health facilities; 600 patient reviews were obtained via NaviHealth.ai across 31 public and private health facilities; 16 TBA practitioners were trained on safer birth practices and prompt referral, and 30 community influencers were trained; pioneered the engagement of nurse-led health facilities in Lagos; institutionalized QI structures in 24 health facilities - established and built the competency of QITs to pilot and implement QI solutions (changes ideas) using Model for Improvement (MFI) approach. This has significantly improved the quality of maternal services and maternal health experiences.
