The CEO of the Hospital for Sick Children, the Chair of the Hospital for Sick Children Board of Directors are both full voting ex-officio members of the Board of The Hospital for Sick Children Foundation. As well, a trustee of the Hospital for Sick Children is appointed from the Board of Trustees of the Hospital for Sick Children to the Board of the Hospital for Sick Children Foundation.

Form 990, Part VI, Section A, Line 7A

The President and CEO of the Hospital for Sick Children will be a member of any future search committee for the recruitment of the President and CEO of the Hospital for Sick Children Foundation.

Form 990, Part VI, Section B, Line 11B

The 990 is reviewed in detail by the Associate Director, Finance and is responsible for managing the completion of the return. The 990 form is also reviewed in summary by the Director of Finance and the Chief Operating Officer.

Form 990, Part VI, Section B, Line 12C

The Board of Directors are provided with a Board manual that includes the Conflict of Interest policy. There is a Board Orientation which references Board policies that includes the Conflict of Interest policy. The Board is given access to a Board portal and the Conflict of Interest policy included on the portal. The Conflict of Interest policy and corresponding annual questionnaire is provided on the SickKids Foundation internal website applicable to all employees and non-Director Board Committee members. Completed questionnaires are made available to the Board and Legal Council for review as required.

Form 990, Part VI, Section B, Line 15

Review and recommendation of the compensation for the President and CEO and their direct reports (including all officers) is performed by the Board's Compensation/Resource Management Committee according to a written charter. The Committee consists of no less than three members of the Board, appointed annually by the Board. The Board then approves the compensation for the President & CEO and their direct reports (including all officers) based on the Committee's recommendations, both the general market and our peer group.

Schedule D, Part V, Line 4

The Endowment Fund consists of externally restricted contributions received by the Foundation where the endowment principal is required to be maintained intact over the long term. The Endowment Fund also includes internal resources transferred by the Board of Directors with the intention that the principal be maintained intact, but may be drawn down to fund operating activities and grants as required. The Endowment Fund is preserved through the Foundation's Fund Unitization and Capital Preservation Policy ("Policy"). Investment income (loss) is allocated among the funds based on the Policy. The Policy established a payout amount based on 4.25% multiplied by the average of the current and two previous fiscal year's unit values multiplied by the number of units in the Endowment Fund, of which 0.75% is credited to the General Fund for administration. The remaining 3.5% is restricted to the purpose in which the donor originally designated the contribution to.
