Governance Explanations

Form 990, Part VI, Section B

LIne 11 - The Form 990 was prepared by a nationally renowned accounting firm in conjunction with the organization's financial department. A copy of the draft Form 990 was circulated to the full Board of Trustees for discussion and comment. Each Board Member was provided ample opportunity to comment on the information contained in the 990 prior to its filing with the Internal Revenue Service. Line 15 - The organization undertakes a rigorous process to ensure that the executive compensation it pays to its top management official (Rector) and all other officers of the organization is reasonable. The Rector's salary is reviewed periodically by a compensation committee of the board of directors. The chairman of the board makes salary and benefit recommendations for the Rector and then those recommendations are reviewed by the entire board. The full board must then approve the Rector's compensation. For other officers of the organization, the Rector evaluates and determines the appropriate salary and benefits jointly with the chairman of the board of directors. The officers' compensation is then approved by the full board.

Form 990, part VI, Section C

line 19 - The taxpayer makes its Form 990 available to the public by retaining a copy at its place of business. The Form 990 is likewise published on the internet at www.guidestar.org. The organization's financial statements, governing documents and conflict of interest policy are not ordinarily made available to the public, but, if requested, will be provided at management's discretion.

Additional Explanations

Form 990, Part I, Line 5

THE ORGANIZATION IS REPORTING NO EMPLOYEES ON PART I, LINE 5 AND PART V, LINE 2A BECAUSE THE QUESTION ASKS FOR THE NUMBER OF EMPLOYEES ON THE ORGANIZATIONS'S W-3. The organization has no U.S. reporting requirements as it has no activity outside of Costa Rica; accordingly, the organization is not subject to U.S. payroll reporting requirements and does not a file a W-3. Nevertheless, for the year ending, December 31, 2013, the organization is disclosing that it had 732 employees.

Form 990, part V, Line 1A, 1B and 1C

The organization is not a US domiciled corporation and has no U.S. employees, therefore, it does not file form 1096 or Form W2-G. As such, it is also not required to comply with IRS backup withholding rules.

Part III - Other Program Service Activities (4(D))

FINCA La FLor - The University supports the activities of FINCA LA Flor. Finca La Flor provides sustainable agri-business techniques that align with the University's primary exempt mission. FINCA La Flor is dedicated to demonstrating organic, sustainable agriculture. It offers courses to locals and to tourists as well as offering a work/live program. The University defined 5 components that will guide the work on this new campus: - Center for the Transformation of Knowledge: The main purpose of La Flor campus will be to search for ways to improve the environment, productivity and human capacities, as well as the generation of jobs through teaching and research. - Sustainable Agricultural Center: It deals with all the agricultural production (mango, sugarcane, citrUs fruits, and cattle production) of the new campus, creating learning experiences for students, producers and visitors. - Sustainable Technology Center: This project will manage not only academic activities but also coordinate research with companies that are oriented towards development and innovation. - Agro-eco-cultural Tourism: La Flor will be used as a reference point for those who visit Guanacaste, offering activities that integrate, ecological, agricultural, scientific and cultural criteria. GREEN CONFERENCE CENTER: THE CENTER WILL OFFER CONFERENCE AND MEETING FACILITIES FOR BUSINESS AND ACADEMIC ACTIVITIES. THE CENTER WILL BE DESIGNED IN ACCORDANCE WITH ENVIRONMENTALLY SOUND ARCHITECTURAL AND CONSTRUCTION STANDARDS.

Part III - Other Program Service Activities (4(E))

The University's continuing education program (PEP) facilitates the exchange of information between EARTH and the institutions or individuals involved in sustainable development in the humid tropics. The goal is to Establish permanent links with farmers in the region and their families to nourish the actions of research and teaching, in a way that students and professors learn about the causes of the problems that face the community and together with the community search for solutions. STRATEGICALLY, THE CONTINUING EDUCATION PROGRAM (PEP) IS A KEY COMPONENT IN THE RELATIONSHIP DEVELOPED BY EARTH WITH THE DIFFERENT COMMUNITIES (SCIENTIFIC, ACADEMIC, INSTITUTIONAL, NGO'S, PRIVATE SECTOR, ETC.). MANY OF THE ACTIVITIES OF THE CENTER ALSO GENERATE INCOME WHICH IS USED TO SUSTAIN THIS CENTER. PEP HAS CULTIVATED A STABLE RELATIONSHIP WITH THE NEARBY COMMUNITIES ALLOWING IT TO DEVELOP: - Educational activities - Research projects - Educational tourism

Financial Statement Notes

Schedule D Endowment Funds

The Escuela's endowment fund is held by a Trust; a private entity created under Costa Rican laws for a period of one hundred years. The objective of the trust holding the endowment assets is to assist in financing the activities of the Escuela; to foster educational programs specializing in teaching, research and dissemination of agricultural knowledge and conservation of the humid tropics. Schedule D Reconciliation Discussion The University's Form 990 is based upon two separate audited financial statements of the University and the Fideicomiso de la Escuela de Agricultura de la Region Tropical Humdea (Earth Trust Fund). Earth Trust Fund is a private entity created under Costa Rican laws to administer the University's trust fund. The Trust's objective is to foster educational programs specializing in teaching, research and dissemination of agricultrual knowledge and conservation in the humid tropics. All services are provided to support the University. For financial statement purposes, the Earth Trust Fund receives separate independent audited financial statements and the financial information of the Earth Trust Fund are reported in the University's Form 990. Since the Form 990 is based on the aggregation of two separate audited financial statements, the organization has opted to forego completing the Schedule D reconciliation.

IRS990/Desc0Academic programs - the university curriculum includes four distinct educational activities that focus on experiential learning: student entrepreneurial projects, work experience, internships, and professional experience. Academic support programs - In addition to its core curriculum, the university stresses active participation through planned activities, laboratory and field work as well as independent research projects. The university carries out innovative research that is directed at improving agriculTural production practices to address the challenges that currently confront rural communities in the tropics. EARTHs campus has an academic farm which is used by the students as a laboratory to do work in their fields. The commercial farm is used to develop agricultural activities and generate money to support the academic program. The campus provides sports facilities such as soccer fields, baseball fields and tennis courts. There is also a gym that can be used for basketball, volleyball and indoor soccer. The gym includes a weight room and a pool. In addition, the students have access to different services such as Internet, mail, fax couriers, cafeteria, laundry room, medical services, psychological and nutritional services, and personal physical training. In 2013, the School had a banner year, with the following highlights: 1. 421 students hailing from 36 countries 2. 40% female student population (our highest % ever) 3. 60% of students matriculating on full scholarship. 4. 84% of students graduate 5. 7,500 unique visitors to our two campuses The School provides academic scholarships to students on a full-time and partial basis. In 2013, the School offered the following scholarships: Full Time Scholarships - 258 students - $5,080,466 Partial Scholarships - 107 students - $1,016,040 The amount reflected as grants in Program Service 4a represent student stipends and amounts paid to local rural communities.

IRS990/ProgSrvcAccomActy2Grp/Desc0Agri-business banana plantation - the university operates a banana plantation that assists its students to learn the values and ethics of biodiversity and sustainable agriculture. The operation of the plantation supports the institution economically and academically. The university, in conjunction with the Kellogg foundation, developed renewable products (such as paper) from the waste-a model that has proven instrumental in environmental conservation in latin america. The University's agri-business endeavors extend beyond the plantation, as the students get involved in the sale of crop seeds, livestock, and other agricultural commodities. These activites teach the students to be conscientious and dutiful stewards of the earth and its finite resources.
