Planned Parenthood/Orange and San Bernardino Counties (referred to as PPOSBC) provides confidential, affordable, high quality reproductive health care. We fight for the fundamental right of individuals to determine their own destiny. We provide comprehensive, honest sex education and health information, which enable individuals to make responsible and informed choices. We believe that respect and value for diversity in all aspects of our work are essential to our achieving this mission.

Provide leadership, education, and health services in the area of women's health services.

The organization updated its bylaws in regards to the officers general authorization. The officers of the corporation are authorized and empowered to execute, file and deliver all such other instruments, certificates and documents, and to pay or cause to be paid all necessary fees and expenses, as they or any of them may deem necessary or desirable. Any and all actions heretofore taken by any officer of the corporation in connection with the actions contemplated by the foregoing resolutions are hereby ratified, approved and confirmed.

Planned parenthood/orange and san bernardino counties, inc. Requires all employees to disclose conflicts of interest and potential conflicts upon hire by signing a disclosure form, and on an ongoing basis throughout their employment. Pposbc also requires all members of its board of directors to disclose conflicts and potential conflicts annually by signing a disclosure form, and on an ongoing basis. Pposbc has conflicts of interest policies specific to staff and board members that set forth procedures for self-reporting and third-party reporting of actual and potential conflicts of interest. The policies also include processes for evaluating such conflicts which, for board members, includes a board vote on the transaction. Restrictions imposed vary depending on the nature of the conflict and factual circumstances, and include prohibition from participating in the transaction at issue, termination of/foregoing the transaction, resignation of the board or staff member, or such other actions as may be necessary to ensure compliance with the applicable conflicts of interest policy.

The final compensation is recommended to the board of directors for approval and any determinations are contemporaneously documented. Planned parenthood is exempt from the federal and state income taxes under section 501(c)(3) of the internal revenue code and a similar california statute. Accordingly, no provision for federal or state income taxes has been recorded. Planned parenthood's informational returns are subject to examination by the internal revenue service and the california franchise tax board, generally for three years and four years, respectively after they are filed. Planned parenthood has evaluated its current tax positions and has concluded that as of june 30, 2022 planned parenthood does not have any uncertain tax positions for which a reserve would be necessary. Planned parenthood files u.s. Federal, and u.s. State returns as applicable.
