“California pork producers association (cppa) and ag association management services, inc (aamsi) entered into an agreement where aamsi provides various management services to cppa. Services include, but are not limited to, the development of annual work plan, provide annual budgets and financial reporting, provide expertise to oversee programs, etc. Annual fees paid to aamsi for management services are $28,800. Cppa's executive director is an employee of aamsi. The amount of compensation aamsi paid to the executive director is not based on services provided to cppa.”

“Ccpa has members in three different classes (a, b, and c). Only class a and b members can vote.”

“Members have the authority to elect or appoint members of the governing body.”

“Various governing decisions of the cppa are subject to approval by the members.”

“The form 990 was prepared by an independent accounting firm. Once prepared, a draft was provided to the executive director for their review. After their review, the entire board was provided a current draft to review prior to the return being filed.”

“The conflict of interest policy applies to all employees and board members. Board members are required to disclose any conflicts when joining the board and then disclose any if they arise while serving on the board. Annual disclosure forms are provided by board members. If a conflict is identified, the disclosure form will completed and directed to the president of the board of directors.”

“The board of directors completes an annual evaluation of the executive director's performance with input from various sources, including staff, volunteers, and supporters of the organization.”
