Mission

The Putnam Foundation is a non-profit organization whose primary activity is the education of the public in fine arts through the operation of the Timken Museum of Art located in Balboa Park in San Diego, California. In addition to contributions, the Foundation receives income from endowment funds and a perpetual trust which provide restricted and unrestricted income. The Museum is open to the public free of charge.

Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

Amended Bylaws:1. Terms:a. Board member terms for 2 years and board members may not serve for more than 3 consecutive termsb. Board member terms can be extended if they are in an officer position at the time their service expires, in which case they may continue as long as they are in an officer position.c. The specific expiration date of a board members term will be recommended by the Governance & Recruitment Committee to ensure smooth rotation of members and the number of directors required, as set forth in the bylaws, is maintained.2. New category of Director be created, named a DIRECTOR EMERITUS Emeritus directors have previously been members of the Board or have made substantial contributions to the Museum and/or the Board as members based on their time, efforts and financial commitments to the Museum; Emeritus directors are recommended by the Governance & Recruitment Committee andsubsequently approved by the full Board; Emeritus directors are entitled to receive the Foundations regular financial statements, minutes of Executive Committee and Board Meetings, and such other information as they would request and/or that the Chairman or Executive Director would deem helpful and appropriate to their function as an emeritus director; Emeritus directors would have no specific duties but be welcome at any Committee and Board meeting. Emeritus directors can participate in discussion only with the explicit permission given by the committee chair during the convened meeting of the committee. Emeritus directors cannot vote. The Chairman of the Board or the Executive Director can call on emeritus directors periodically for special projects, advice and counsel, and for input on various proposals to come before the Board; The Chairman of the Board or the Executive Director can, if appropriate, convene emeritus directors in an meeting format or use them individually, including appointing them to one or more standing or Ad Hoc Committees; Termination of emeritus directors status will be based on a recommendation of the Governance & Recruitment Committee and subject to approval of the board.

Form 990, Part VI, Line 11B: Form 990 Review Process

The Form 990 is given to all Audit Committee Members. The Partner from the accounting firm annually attends the Audit committee meeting and reviews the Form 990 with the committee members.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

A conflict of interest policy is reviewed and signed by each board member and key employee on an annual basis. Each person is required on such policy to disclose any conflicts. Should any conflicts arise, they would be addressed by the Executive Director and the Board of Directors. If there was such a conflict, such person with a conflict wold not be able to vote on the transaction. No such conflicts did arise this year.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

A search committee was formed in 2015 to hire the Executive Director and determine compensation. The independent board of directors approved the selection made by the independent committee. Any compensation increases for the E.D. will not occur until after the second year of employment and must be approved by the Board of Directors, per the employment contract. Compensation approval was based on comparables for the museum industry and the approval process was documented. This process was completed in May 2015. There are no other paid officers or key employees. There were no salary increases to the Executive Director compensation since the date of hire.

Financial Statement Notes

Part III, Line 4: Description of organization'S collections and how it furthers its purpose.

The Foundation has capitalized its works of art since its inception. If purchased, items accessioned into the works of art are capitalized at cost and, if donated, they are capitalized at their appraised or fair value on the accession date, the date on which the item is accepted by the Board of Directors (the Board). Gains or losses on the deaccession of works of art are classified in the statements of activities as unrestricted or temporarily restricted depending on donor restrictions, if any, placed on the item at the time of accession. Deaccession of works of art from the collection totaled $52,550 and $-0- during the years ended March 31, 2017 and 2016, respectively, with net proceeds totaling $5,940 and $-0- resulting in a loss on sale of $46,610 and $-0- for the years ended March 31, 2017 and 2016, respectively. Costs incurred in connection with the acquisition and conservation of works of art are expensed in the period incurred. The collection totaled $13,554,097 and $13,481,647 at March 31, 2017 and 2016, respectively.An independent appraisal made during 2015, adjusted for accessions and deaccessions at cost, valued the works of art held by the Foundation at $275,283,000. Subsequent to the issuance of the appraisal report, the museum made acquisitions in the amount of $1,500,724 and received donated works of art in the amount of $125,000. Management believes that the value at March 31, 2017 has not declined since the 2015 appraisal.

Part V, Line 4: Intended uses of the endowment fund.

The museum has investment and spending policies for endowment assets that attempt to provide a predictable stream of funding for operations. The museum targets a diversified asset allocation primarily focused on equity and fixed income based investments to achieve long-term objectives with prudent risk constrains.

Part X : FIN48 Footnote

The Foundation is a public charity and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and Section 23701(d) of the California Revenue and Taxation Code except on net income derived from unrelated business activities. The Foundations unrelated business activity did not generate taxable income and no tax liability has been recorded at March 31, 2017 and 2016. The Foundation believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. The Foundation is not a private foundation.The Foundations Return of Organization Exempt from Income Tax and Exempt Organization Business. Income Tax Returns for Tax for the years ended March 31, 2017, 2016, 2015 and 2014 are subject to examination by Internal Revenue Service and State taxing authorities, generally three to four years after the returns were filed.

IRS990/Desc0The Putnam Foundation (the Foundation) is a non-profit organization whose primary activity is the education of the public in fine arts through the operation of the Timken Museum of Art (the Museum) located in Balboa Park in San Diego, California. In addition to contributions, the Foundation receives income from endowment funds and a perpetual trust which provide restricted and unrestricted income. The Museum is open to the public free of charge.Collections:The world-class Putnam Foundation collection of European and American art and Russian icons is on permanent display at the Museum. The Museums collection spans nearly 700 years of art history from early Italian Renaissance devotional paintings to late nineteenth century paintings from the United States and includes important examples of French, Dutch and Flemish paintings in addition to Italian and American. A special feature of the museum is the significant collection of Russian icons, many from the Moscow and Novgorod Schools, ranging from the fifteenth to the nineteenth century. On display are 46 paintings, 29 Russian icons, four tapestries and one sculpture. The collection also includes the only Rembrandt painting on public display in San Diego.
