Mission

The producers guild of america foundation's core mission is to educate, promote and expand opportunities for those who work in the producing profession. Among the guild's major initiatives supported by the foundation are the annual produced by conferences and the make your mark short film competition.

The producers guild of america foundation's purposes are to: (a) contribute to charitable organizations and (b) encourage and promote in all forms of media: (i) excellence in producing in the field of entertainment; (ii) education of producers in the field of entertainment; (iii) forums in the field of entertainment; and (iv) any other permitted purpose within the meaning of section 501(c)(3) of the internal revenue code. Among the foundation's major initiatives are: sustainability (including the green production guide), the independent production safety initiative, and support for emerging producers through the debra hill fellowship and various diversity, equity and inclusion initiatives.

On february 29, 2024, the pga foundation board of directors voted to approve new bylaws and an amendment to the articles. The most significant changes to the governing documents for the foundation included: the establishment of producers guild of america inc. As the sole member of producers guild of america foundation with specified reserved powers and an increase in the maximum number of authorized directors from nine (9) to twelve (12) directors. The foundation board voted in new directors and officers during this fiscal year.

On february 29, 2024, the pga foundation board of directors voted to approve new bylaws and an amendment to the articles. The new bylaws and articles establish producers guild of america inc., a related 501(c)(6) organization, as the sole member of producers guild of america foundation.

The sole member of the foundation, producers guild of america, inc., has the exclusive right to exercise certain reserved powers regarding the foundation's operations, including all rights granted to the members of a nonprofit corporation by law, and the right to: (a) amend or restate the articles of incorporation of the foundation; (b) amend, replace, or repeal the bylaws of the foundation and/or adopt new bylaws; (c) consolidate the foundation with any other organization; (d) enter into any joint venture between the foundation and any other organization; (e) dispose of all or substantially all of the foundation's assets; (f) dissolve, terminate or otherwise wind-up the foundation's affairs; (g) adopt or amend any capital or operating budget or strategic plan of the foundation; (h) make any material acquisition or sale or otherwise dispose of any material asset of the foundation; (i) approve the merger or dissolution of the foundation; (j) enter into any material agreement or transaction that: (i) involves an expenditure of more than $100,000 above the approved budget for foundation or (ii) would result in a substantial and material change in the foundation's operations; and (k) adopt policies to implement the reserved powers of the member.

FORM 990, PART III, LINE 4B, PROGRAM SERVICE ACCOMPLISHMENTS:

Pga developed ipsi, the independent production safety initiative, to fundamentally guide, and bring awareness and support to, how independent productions deal with sexual harassment and bullying on and off sets. Ipsi offers preventative training with the goal of eliminating harassment on set. Pga believes this program will provide real and meaningful assistance to independent producers. And will help foster cultural change. Ipsi gives eligible independent productions, at no cost, an hour of professional on set anti-harassment training from outside counsel, a content library of relevant materials, and up to two hours of free legal consultation from outside counsel. In addition to the free on set training, ipsi provides free quarterly trainings, in us production hubs, to anyone working in the entertainment industry. The ipsi content library includes materials, such as sample codes of conduct, checklists, and resource guides. The guild's independent production safety initiative has been offering virtual and in-person trainings and services.
