“The Foundation has three classes of members that include association members, individual members and honorary members.”

“Each Member is entitled to one vote for each matter submitted for a vote by the members. Each member who is entitled to vote at any election for director may cast one vote for any candidate, up to the total number of director to be elected. The candidates receiving the highest number of votes up to the number of directors to be elected are elected. Ballot Requirements: Any action which may be taken at any regular or special meeting of members may be taken without a meeting. If an action is taken without the meeting, the foundation shall distribute a written ballot to every member entitled to vote on the matter. The ballot shall set forth the proposed action, provide an opportunity to specify approval or disapproval of any proposal, and provide a reasonable time within which to return the ballot to the foundation. The number of approvals equals or exceeds the number of votes that would be required to approve at a meeting at which the total number of votes cast was the same as the number of votes cast by ballot.”

“The members meet annually in June of each year, for the purpose of transacting such proper business as may come before the annual meeting, including the election of directors. The annual meeting elects and approves directors and actions taken by the board of directors.Ten percent or more the members of the foundation may call special meeting for any lawful purpose. A quorum at any meeting of members shall consist of one-third of the voting power, represented in person or by proxy.”

“The president, secretary and treasury all received a copy of the Form 990 before it is filed. They would review it for accuracy. When all of them agree that the Form 990 is correct, it is filed with respective government agencies.”

“Any director can disclose to the board of directors any material financial interest which the directors directly or indirectly have in any person or entity which is a party to a transaction under consideration by the board of directors. The interested director shall abstain from voting on the transaction, provided, however, that the interested party's presence may be counted in determining whether a quorum is present for the purpose of the holding of the board meeting.”
