“Lacba cfj fund raising (formerly the foundation (lacbf)) has three classes of members: 1) regular members a) past presidents of the la county bar association (lacba); b) past presidents of the la bar association, the unincorporated predecessor to lacba; c) past presidents of the corporation (lacbf); d) members (other than ex officio members) of the board of trustees of lacba; and e) directors of the corporation who are also members of the los angeles county bar association (lacba) 2) life fellow members (a contributor at a specific level) of the corporation. 3) barristers fellow members (another contributor at a specific level)”

“All foundation members at the annual meeting, held in june each year, are permitted to vote for the proposed slate of new members of the board of directors of the lacba cfj.”

“The governing body of lacba cfj is its board of trustees. The board has appropriately delegated the review responsibilities of the form 990 to multi level review by those departments within lacba that have sufficient expertise to provide meaningful review. That multi-level review consisted of circulation of the form 990 filing for review and comment to: the chief financial officer the general counsel the controller senior accountants in the finance department.”

“On an annual basis, lacba cfj has a meeting where the board of trustees, officers and key employees are present, and a detailed presentation of lacba's written conflict of interest policy ("coi"), and each attendees responsibilities regarding that coi is made. After that presentation and discussion, each attendee receives a coi certification form, is instructed to review any possible conflicts with their firm as necessary, and submit the appropriate disclosures and executed certification in a timely manner. Lacba's staff ensures that all necessary coi disclosures and certifications are collected and properly executed. The general counsel is then available for discussion and consultation throughout the year concerning any questions or issues that arise pertaining to the coi policy. The general counsel for lacba cfj considers all conflict disclosures, discusses any potential conflicts with the individuals as necessary and reports all significant communications regarding potential or actual conflicts to the executive director of the los angeles county bar association, and the president of lacba cfj. If the president, executive director or general counsels determines that a potential or actual conflict should be disclosed the general counsel is charged with affecting that disclosure, and any other enforcement deemed necessary.”

“Lacba cfj makes its governing documents, conflict of interest policy, and financial statements available to the public; although many of these documents are available to the public through governmental operations.”
