Special-meeting notice was shortened to four days by mail or 48 hours by electronic/phone notice. - the executive committee barred from taking several sensitive actions (e.g., by-law amendment, mergers), and the audit committee independence tightened. -the chair, treasurer, and secretary now serve three-year terms (previously one-year), synchronizing with director cycles. -the compensation clause was clarified: all voting directors and officers remain unpaid except for reasonable expense reimbursement. -the power to amend the bylaws moved fully in-house. Bylaws may now be changed by a two-thirds board vote without external approval.”

“The organization's treasurer and cfo/coo reviews and approves the form 990. Members of the board of directors are provided a copy before it is signed by the cfo/coo and filed with the irs.”
