An annual conflict of interest disclosure form is required to be completed by all covered persons wherein they affirm that they received a copy of this policy, have read and understand the policy, and agree to comply with the policy. The covered persons should promptly disclose in writing, the existence of any actual or potential conflict of interest involving such officer or trustee when such conflict arises. The disclosure should include all the material facts that would enable the board of trustees to evaluate the actual or potential conflict reasonably and to be able to determine the appropriate action. A covered person may not be present during deliberations or voting by the board of trustees regarding any decision or other action by the association concerning a matter in which such offer's or trustee's material personal interests of an immediate family member or affiliate of such officer or trustee) may be affected. However, the officer or trustee may provide information to the board of trustees concerning a potential conflict (including officer's or trustee's direct or indirect interests therein).
