“This policy applies to any interested person, defined as any director, principal officer, or member of a committee with governing board delegated powers who has a direct or indirect financial interest. The governing board or a committee with delegated authority shall determine whether a conflict of interest exists after full disclosure of all material facts by the interested person. Actual conflicts shall be reviewed and resolved at the same level following due diligence and a majority vote of disinterested directors. An interested person must disclose the financial interest and all material facts and may provide relevant information; however, such person shall not participate in deliberations or decisions regarding the transaction or arrangement and shall leave the meeting during discussion and voting. The chairperson may appoint a disinterested person or committee to investigate alternatives, and the governing body shall determine whether a more advantageous transaction or arrangement is reasonably available that does not present a conflict. If no such alternative exists, the governing body shall decide whether the proposed transaction or arrangement is in the organization's best interest, fair, and reasonable. Failure to disclose an actual or possible conflict of interest shall result in investigation and appropriate disciplinary or corrective action.”
“The board of directors is responsible, as the employer of the executive director, for the selection, hiring, and oversight of the executive director. The board president determines the compensation of the executive director at time of hire and during performance evaluations. The executive director consults with the board president and treasurer regarding compensation of other staff. Performance evaluations: pregnancy & parenting support of san luis obispo county utilizes a system of formal performance evaluations as a necessary management tool to ensure satisfactory performance is maintained at all times and to aid in decisions regarding promotions, compensation, training and corrective action. The appraisal system is designed to focus on the job performance of the individual as it relates to the individual's job description, to assess progress, set goals and identify improvements needed. Evaluations of all employees will be made annually, and at the end of the introductory period for new employees. It is our goal that the performance evaluation process will enhance teamwork and promote an open, ongoing communication that is vital to successful working relationships. Evaluations will become a part of the employee's permanent personnel file. Periodic evaluations may also be done if considered necessary either to commend outstanding performance or to address problem areas. Ongoing problems may result in a defined performance improvement period or ultimately in termination. The process described here was last completed in 2023.”
“The organization makes its financial statements, governing documents and conflict of interest policy available upon request.”
“The process for oversight and selection of an independent accountant has not changed from the prior year.”

PRIOR TO THIS, THE PPS EXECUTIVE DIRECTOR CONDUCTS A THOROUGH REVIEW OF THE FORM TO ENSURE ITS ACCURACY AND COMPLETENESS. THE EXECUTIVE DIRECTOR MUST COMPLETE AND APPROVE THIS REVIEW BEFORE SIGNING AND SUBMITTING THE DOCUMENT. |
| IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt | 1 | THIS POLICY APPLIES TO ANY INTERESTED PERSON, DEFINED AS ANY DIRECTOR, PRINCIPAL OFFICER, OR MEMBER OF A COMMITTEE WITH GOVERNING BOARD DELEGATED POWERS WHO HAS A DIRECT OR INDIRECT FINANCIAL INTEREST. FAILURE TO DISCLOSE AN ACTUAL OR POSSIBLE CONFLICT OF INTEREST SHALL RESULT IN INVESTIGATION AND APPROPRIATE DISCIPLINARY OR CORRECTIVE ACTION. |
