Governance Explanations

Management works with the tax preparer and approves a draft of the return. Upon management approval the audit committee reviews the return and approves for filing. The board of directors receives a copy of the return prior to submission to the irs.

Each year the board of directors and management are required to sign a conflict of interest policy which is reviewed and approved by the board of directors. If any covered member decides that he or she may have a conflict of interest, the member will be excused from the meeting while the board determines if there is a conflict of interest. Such person would not be allowed to vote on the item being discussed.

Educational enrichment systems (ees) is exempt from federal and california income taxes under section 501(c)(3) of the internal revenue code ("irc") and section 23701(d) of the california revenue and taxation code. Ees had no unrecognized tax benefits or liabilities as of june 30, 2014 and 2013. Ees files an exempt organization return in the united states federal jurisdiction and with the franchise tax board in the state of california. Ees is no longer subject to income tax examinations by taxing authorities for years before 2011 for its federal filings and for years before 2010 for its state filings.

QPI HAS INSTITUTED A 5 TIER PRESCHOOL QUALITY RATING AND IMPROVEMENT SYSTEM. ALL EES LOCATIONS SCORE A 4 OR 5 RATING THROUGH THE QPI SYSTEM.
