“Regular voting membership in the society is limited to individuals who hold an active md or do license and are actively engaged in the practice of female pelvic medicine and reconstructive surgery. Such members (the "voting members") must pay annual dues to the society and may vote on all matters that properly come before the membership, serve on the board of directors, and hold office.”
“Voting members have the power to elect or appoint officers and directors of the board.”
“Bylaws may also be adopted, amended, or repealed by an affirmative vote of the majority of the voting members at a meeting of the members at which a quorum is present, or by written ballot.”
“A copy of the final draft of the form 990 is provided to the entire board of directors prior to filing.”
“The executive director ensures that conflict of interest disclosure statements are signed annually by board members. Individuals who have not submitted the forms are sent another copy and requested to sign. If that effort fails, the individual is called and requested to submit the form.”
“Documents are available upon request and also on www.guidestar.org.”

“The organization has not changed either its audit oversight process or its process for selection of an independent accountant during the year.”
“In august 2010, the mayo clinic and the department of obstetrics and gynecology donated $25,000 to augs to establish a named lectureship in honor of dr. Raymond lee, a pioneer in gynecologic surgery, as well as mentor and colleague to many augs members and leaders. This temporarily restricted endowment fund is expected to achieve a total rate of return to allow for funds sufficient to cover the honorarium lectureship and related travel expenses. Excess funds from the endowment earnings may be used to further advance the knowledge and teaching of gynecologic surgery through ongoing programs of the society. During the year ended june 30, 2013, augs received funding from a donor to establish the marion j. Sims endowed lectureship. Included in this grant were stipulations requiring augs to utilize $100,000 of the grant to establish an enduring endowment of which only investment interest was permitted to be used for program funding. The remaining $25,000 of the grant was specified for current use and was initially recorded as temporarily restricted revenues. As required by generally accepted accounting principles, net assets associated with endowment funds are classified and reported based on the existence of donor-imposed restrictions.”
